Emergent Biosolutions Inc. annual report, FY2022

Emergent BioSolutions Inc. — FY2022 Form 10-K

Reporting period: Fiscal year ended December 31, 2022. The filing is an annual report, not a standalone fourth-quarter report; it does not provide a clear standalone Q4 income statement. Unless noted, amounts are U.S. dollars in millions.

Business context

Emergent develops and supplies public-health countermeasures and provides contract development and manufacturing (CDMO) services. Beginning in 2022, it reported Products (Government medical countermeasures and commercial products) and Services (CDMO) as its two operating segments. The U.S. Government was its largest customer, accounting for 43% of 2022 revenue.

Year-end working capital was negative $19.2 million. Remaining revolver capacity was only $0.7 million. Operating cash flow was negative despite the increase in cash, with financing cash flow of $481.2 million—including $598.0 million of revolver proceeds—supporting the cash balance. Investing cash outflow was $381.3 million, including the $238.0 million TEMBEXA rights acquisition.

Products revenue was $966.2 million, down 6%; Services revenue was $113.3 million, down 82%. Products gross margin was 56%, down from 63%. Services reported a gross loss of $156.3 million, versus gross profit of $259.1 million a year earlier. The filing reports an adjusted Products gross margin of 62%; this is a non-GAAP measure.

Material changes versus FY2021

  • Total revenue fell 37%, principally as COVID-19-related CDMO and BARDA activity ended or declined. CDMO Services revenue fell $226.5 million and CDMO lease revenue fell $294.8 million; contracts and grants declined $92.8 million.
  • NARCAN nasal naloxone revenue declined 14% to $373.7 million, reflecting generic competition, lower unit pricing and reduced retail sales, partly offset by public-sector and Canadian demand.
  • ACAM2000 sales declined 69% to $63.4 million after lower U.S. Government purchases. Anthrax vaccine revenue rose 6% to $274.3 million, primarily due to delivery timing and non-U.S. sales.
  • TEMBEXA contributed $117.6 million of 2022 revenue following the acquisition of worldwide rights in September 2022. The $238.0 million purchase included acquired inventory and intangible assets.
  • The company moved from net income of $230.9 million to a net loss of $223.8 million, while operating cash flow swung from positive $321.1 million to negative $34.1 million.

Outlook, risks and unusual items

  • Going concern and refinancing: Management and the auditor disclosed substantial doubt about the company’s ability to continue as a going concern within one year after issuance of the financial statements. The company was out of compliance with debt covenants at year-end and received a limited lender waiver covering specified covenant breaches through the earlier of another default or April 17, 2023. Management was seeking to refinance or replace the secured facilities; success and terms were uncertain. The financial statements retain the going-concern basis and are not adjusted for the uncertainty.
  • Travel-health sale: After year-end, Emergent agreed to sell Vaxchora, Vivotif, CHIKV VLP and specified facilities to Bavarian Nordic for $270 million, subject to adjustments and closing conditions. Up to $110 million of additional development and sales milestones may be payable. Closing was expected in Q2 2023; completion was not assured. Proceeds were expected to be held as collateral and, absent lender agreement otherwise, applied to the term loan.
  • Cost actions and strategy: A January 2023 restructuring eliminated 132 roles, approximately 5% of the workforce. The company estimated $9–$11 million of charges and more than $60 million in annualized savings when fully implemented. Its 2023–2025 priorities emphasize MCM and commercial products, strengthening CDMO quality and operations, and focusing R&D on areas of leadership.
  • Manufacturing and quality: FDA issued a warning letter concerning the Camden facility following a February 2022 inspection; cited matters included equipment cleaning and maintenance, aseptic practices and quality systems. The company reported corrective-action work. A specific batch of RSDL kits was recalled in November 2022 because of leakage; the filing reported no known related injuries or deaths.
  • Janssen dispute: Janssen and Emergent disputed termination of their manufacturing agreement and amounts owed. Emergent reported $152.7 million of related long-term assets, including inventory and termination-related items, and said the matter would proceed through arbitration. The possible loss was not reasonably estimable in the filing.
  • Controls and litigation: Management and the auditor identified a material weakness in inventory accounting, specifically controls over capitalization of pre-launch materials; management said it had begun remediation. The auditor issued an adverse opinion on internal control over financial reporting, while giving an unqualified opinion on the financial statements with a going-concern explanatory paragraph. Securities and shareholder derivative litigation and government inquiries related to past COVID-19 manufacturing capabilities remained outstanding; potential losses were not reasonably estimable.
  • Regulatory and demand exposure: Revenue remains sensitive to U.S. Government appropriations, contract options and delivery schedules, as well as CDMO customer activity and manufacturing compliance. AV7909’s BLA was under FDA review. NARCAN’s OTC application had a March 29, 2023 FDA goal date; after year-end, advisory committees unanimously supported nonprescription use, but FDA was not bound by that recommendation.

Investor facts to verify

  • Whether Emergent refinanced or amended its October 2023 secured debt maturities, met subsequent covenant requirements, and maintained adequate liquidity after the lender waiver expired.
  • Whether the Bavarian Nordic transaction closed, the net proceeds available for debt repayment, and the resulting debt, cash and operating footprint.
  • Whether the inventory-accounting material weakness was remediated and whether any later filings identified restatements or additional control deficiencies.
  • Outcomes and financial effects of the Janssen arbitration, shareholder litigation and government investigations, including recoverability of the $152.7 million of related assets.
  • FDA decisions on NARCAN OTC status and AV7909 licensure, and any further changes in government procurement or generic competition.
  • Whether CDMO utilization, gross margins and quality/compliance performance improved after the sharp 2022 revenue decline and Services gross loss.
