Cash was $897.9 million at September 30, down from $1,260.2 million at year-end 2020. Material changes, outlook, and risks

  • Adjusted gross margin was 40.9% in Q3, down from 41.7%; management attributed the decline to delivered-product cost inflation and Hurricane Ida, which outweighed pricing and volume benefits. SG&A as a share of sales improved to 25.1% from 26.6%.
  • Special charges and gains totaled $98.5 million in Q3 and $171.8 million year to date. A $50 million reserve for excess sanitizer inventory and disposal costs was the principal Q3 item. Other significant items included debt-refinancing costs, pension-settlement expenses, restructuring, COVID-related costs and legal charges.
  • Management expected continued, uneven recovery in the U.S. and Europe, with other regions following, and continued substantial delivered-product cost inflation. It expected Q4 earnings growth in the double digits, but below Q3 growth. Hurricane Ida reduced Q3 reported and adjusted diluted EPS by an estimated $0.03.
  • COVID-19 risks include renewed restrictions or variants, uneven customer recovery, supply shortages and inflation, and possible operational disruption. Ecolab also cited risks from vaccination requirements applicable to certain federal-contract work, raw-material availability and costs, foreign exchange, cybersecurity and ERP implementation, litigation, environmental matters, and tax and regulatory uncertainties.
  • Restructuring programs remained in progress. Institutional Advancement costs were estimated at $80 million through 2023, with about $50 million annual savings expected by 2024; Accelerate 2020 costs were estimated at $255 million through 2022, with about $315 million annual savings expected by 2022. Actual costs and savings may differ.
  • After quarter-end, Ecolab agreed on October 28, 2021 to acquire Purolite for $3.7 billion, subject to adjustments. The acquisition had not closed as of the filing date. Ecolab also reported a subsequent interest-rate swap.
  • Legal and environmental matters include participation in remediation at approximately 30 locations. Management said it did not believe material loss beyond accrued amounts was reasonably possible for its current legal matters, while noting adverse developments could result in additional charges. The interim financial statements received a limited review, not an audit.

Important facts for investors to verify

  • Whether pricing can catch up with input-cost inflation and restore gross margins, especially in Industrial.
  • Whether the Q4 double-digit earnings-growth outlook was achieved and how COVID conditions and customer reopening trends evolved.
  • The sanitizer inventory reserve’s final cash and earnings impact, and the timing and realized savings of restructuring programs.
  • Purolite transaction financing, final purchase price, closing conditions, integration costs and expected contribution.
  • Debt repayment and refinancing terms, interest-rate exposure, and whether leverage and liquidity remain consistent with management’s expectations.
  • Potential changes in litigation, environmental remediation, uncertain tax positions, vaccination-related obligations and ERP/cybersecurity risks.
