Quarterly diluted earnings per share were $1.69, versus a loss of $0.76; nine-month diluted earnings per share were $1.00, versus a loss of $1.99. Net income benefited substantially from an income tax benefit: $200.3 million for the quarter and $181.9 million for nine months. The benefit was primarily associated with releasing a valuation allowance against U.S. federal and certain state deferred tax assets; it is not a measure of operating profitability.
Quarterly operating margin was approximately negative 8%; nine-month operating margin was approximately negative 9%. Services gross margin was negative 2% for the quarter and 9% for nine months. Management cited subscription cost efficiencies behind improved subscription margins, while services costs outpaced services revenue growth in the quarter.
Liquidity, debt and balance sheet

- Operating cash flow was $87.8 million for nine months. Investing activities used $229.6 million, largely reflecting purchases of marketable securities and the Opster acquisition; financing activities provided $28.6 million.
- Long-term debt was $568.3 million net of issuance costs, representing $575.0 million principal of 4.125% Senior Notes due July 2029. Interest expense was $19.0 million for nine months.
- Total assets were $2.059 billion, total liabilities $1.351 billion and shareholders’ equity $707.8 million at January 31, 2024. Deferred revenue was $585.2 million current and non-current combined.

Changes, outlook and notable items
- Revenue growth was led by Elastic Cloud. Its share of total revenue rose to 44% for the quarter and 43% for nine months, from 40% in each prior-year comparable period.
- Operating loss narrowed year over year. The prior-year comparisons included $29.8 million of restructuring charges for the quarter and nine months; the current periods included no quarterly charge and $0.8 million for nine months.
- Stock-based compensation was $62.8 million for the quarter and $176.3 million for nine months, compared with $54.5 million and $148.6 million, respectively, in the prior-year periods.
- Remaining performance obligations were $1.176 billion at January 31, 2024; approximately 91% was expected to be recognized as revenue over the next 24 months.
- Elastic acquired Opster Ltd. on November 30, 2023 for $22.8 million in total consideration, including a $3.1 million indemnity holdback. The acquisition’s results were not material enough to present pro forma results.
- The filing provides no clear numeric financial guidance. Management expects Elastic Cloud to become a larger revenue contributor, with a modest adverse effect on gross margin from hosting costs; it also expects to continue investing in product development, sales and marketing, and services. Management said it will monitor and adjust spending and selectively reinvest savings.
- Management cited macroeconomic uncertainty, customer spending scrutiny, longer and less predictable sales cycles, and slower consumption as ongoing pressures. The company also identifies competition, cloud adoption and hosting costs, cybersecurity and privacy, product performance, open-source licensing, foreign exchange, and AI-related legal and regulatory developments as risks.
- The company reported no current legal proceedings expected to have a material adverse effect, and no material changes to contractual obligations outside the ordinary course. Disclosure controls were assessed as effective; no material change in internal control over financial reporting was identified during the quarter.
