Revenue growth primarily reflected higher subscriber levels, subscription price increases and attachment sales. Advertising growth reflected higher CPMs and impressions sold. Subscriber-related expenses increased 19.5% to $360.2 million, primarily due to higher affiliate distribution costs, subscriber growth and contractual rates. Broadcasting and transmission costs declined 26.6% to $14.5 million following cloud-infrastructure optimization initiatives.

Sales and marketing expense was substantially flat at $43.2 million. Technology and development expense increased to $20.0 million, while general and administrative expense increased to $18.5 million, mainly from higher payroll, professional fees and stock-based compensation. Operating margin was approximately negative 15.7%, compared with negative 25.1% in Q1 2023.

North America paid subscribers were approximately 1.5 million at March 31, 2024, compared with 1.3 million a year earlier. Rest-of-world paid subscribers were approximately 0.4 million in both periods. North America monthly ARPU increased to $84.54 from $76.79, while rest-of-world ARPU increased to $7.00 from $6.57.

Cash, cash equivalents and restricted cash totaled $175.0 million at March 31, 2024, down from $251.4 million at December 31, 2023. Cash and cash equivalents excluding restricted cash were $168.9 million. Management stated that existing cash is expected to support operations for at least one year from issuance of the financial statements, but the company continues to incur losses and negative operating cash flow and may seek additional capital.

Debt, commitments and balance sheet

  • Outstanding principal indebtedness was approximately $377.1 million, consisting mainly of $191.7 million of 3.25% convertible notes due 2026 and $177.5 million of convertible senior secured notes due 2029.
  • In January 2024, Fubo exchanged $205.8 million of 2026 notes for $177.5 million of 2029 notes and recognized a $9.6 million gain on extinguishment of debt.
  • The 2029 notes bear interest at 7.5% if paid in cash or 10.0% if paid in kind and are secured by substantially all relevant company and guarantor assets, subject to exclusions.
  • Current liabilities exceeded current assets by approximately $181.3 million excluding discontinued operations; management nevertheless concluded that liquidity supports going-concern operation for at least the next twelve months.
  • Future contractual commitments included $58.1 million of sports-rights payments, $28.7 million of annual sponsorship obligations and $61.0 million of undiscounted operating lease payments.
  • The company had $156.3 million remaining available under its $350.0 million at-the-market equity sales agreement at March 31, 2024.

Material changes versus the prior comparable period

  • Revenue increased $78.0 million, led by subscription growth and pricing or attachment revenue.
  • Gross profit increased from $3.2 million to $27.7 million, although the company remained unprofitable.
  • Operating and net losses narrowed, partly due to revenue growth, lower broadcasting costs and the debt-extinguishment gain.
  • Operating cash burn improved but remained significant at $67.0 million for continuing operations.
  • Cash declined by $76.4 million during the quarter, compared with a $21.6 million increase in Q1 2023, when the company received substantial equity financing.
  • Debt was restructured through the January 2024 exchange, extending a portion of maturities to 2029 but adding secured debt with materially higher interest rates than the exchanged 2026 notes.
  • Goodwill declined to $619.9 million because of foreign-currency translation. An interim impairment test triggered by sustained stock-price and market-capitalization declines found no impairment, but the conclusion depends on significant valuation assumptions.

Guidance, outlook, commentary and risks

The filing does not provide a clear numerical revenue, subscriber, EBITDA or cash-flow guidance range. Management expects continued losses and substantial cash requirements, while focusing on subscriber growth, content optimization, engagement, retention and monetization. Results are seasonal, with higher revenue and subscriber additions generally expected in the third and fourth quarters around football seasons.

  • Management identified content costs, subscriber acquisition and retention, advertising demand, competition and macroeconomic conditions as major drivers of future performance.
  • Fubo filed an antitrust lawsuit against Disney, ESPN, Hulu, Fox and Warner Bros. Discovery concerning the proposed sports-streaming joint venture and related commercial practices. Fubo sought a preliminary injunction; the hearing was scheduled to begin August 7, 2024. The company states that an unsuccessful challenge could materially harm subscribers, profitability, stock-market listing status and solvency.
  • DISH Technologies and Sling TV have asserted patent infringement claims seeking damages and injunctive relief. Fubo has not estimated a potential loss.
  • Putative class actions allege violations of the Video Privacy Protection Act relating to sharing subscriber information with advertisers and analytics providers. Potential losses are not estimable from the filing.
  • Fubo disclosed possible additional claims related to the dissolution of Fubo Gaming and alleged guaranty obligations, although related Dynamo arbitrations were dismissed in February 2024.
  • A $6.5 million CAM Digital note, including accrued interest and penalties, was in default at March 31, 2024.
  • The company relies heavily on Google Cloud Platform and Amazon Web Services and faces cybersecurity, service-disruption, privacy, regulatory, intellectual-property and content-licensing risks.
  • Disclosure controls and procedures were assessed as effective at the reasonable-assurance level, with no material changes in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether revenue growth and ARPU can offset escalating content and distribution costs and produce sustained positive gross margins.
  • The pace of cash usage, available borrowing or equity capacity, and the need for additional financing or dilution.
  • Fubo’s ability to repay, refinance or otherwise manage the 2026 notes and the secured 2029 notes, including cash or in-kind interest obligations.
  • The outcome and timing of the antitrust preliminary-injunction proceeding and the potential effect of the proposed sports-streaming joint venture.
  • Potential exposure from DISH patent litigation, VPPA claims, Fubo Gaming-related claims and unresolved patent-licensing discussions.
  • The sensitivity of goodwill and other intangible assets to stock-price, revenue-growth, discount-rate and valuation-multiple assumptions.
  • Subscriber trends through the seasonally stronger third and fourth quarters and the reliability of the company’s internally calculated subscriber and ARPU metrics.
