Material changes versus the prior comparable periods

  • Third-quarter sales declined 4%, while nine-month sales increased 4%. On a constant-currency basis, core sales increased 1% in the quarter and 7% year to date.
  • Optical Communications sales increased 16% in the quarter and 22% year to date, supported by carrier and enterprise demand for 5G, broadband, and cloud products. Segment net income increased 32% and 33%, respectively.
  • Display Technologies sales declined 28% in the quarter and 9% year to date because of lower panel-maker utilization. Segment net income fell 46% and 16%, respectively.
  • Hemlock and Emerging Growth Businesses sales increased 33% in the quarter and 39% year to date, primarily due to strong solar demand and growth at CPT and AGS.
  • Environmental Technologies sales increased 10% in the quarter, helped by improved China market conditions, but declined 3% year to date due partly to automotive production constraints and component shortages.
  • Specialty Materials sales declined 7% in the quarter, reflecting weaker smartphone, tablet, and notebook demand. Life Sciences sales increased 2%, but profitability was pressured by lower COVID-related demand, supply-chain disruption, and higher manufacturing costs.
  • Gross margin declined seven percentage points in the quarter and three points year to date, driven by higher production, material, freight, and other costs, together with capacity-optimization charges.
  • Foreign-exchange movements reduced reported sales by approximately $166 million in the quarter and $418 million year to date versus the prior-year periods.
  • Comprehensive loss attributable to Corning was $489 million in the quarter and $264 million year to date, primarily because of foreign-currency translation losses.

Guidance, outlook, commentary, risks, and unusual items

Management expected fourth-quarter 2022 core net sales of approximately $3.45 billion to $3.65 billion. Management stated that it expects 2022 capital expenditures to be slightly below 2021 levels and believes liquidity is sufficient to fund operations, acquisitions, capital expenditures, scheduled debt repayments, and dividends.

Corning recorded accelerated depreciation, asset write-offs, and related charges of $138 million in the third quarter and $217 million for the nine months, primarily related to capacity optimization of an emerging growth business. The company also recorded $23 million of after-tax litigation, regulatory, and other legal matters in the quarter and $65 million year to date.

Currency-related items were material. The third quarter included a $68 million pretax loss on translated earnings contracts, partly offset by an $84 million pretax translation gain on Japanese yen-denominated debt. Year-to-date results included a $257 million gain on translated earnings contracts and a $321 million translation gain on yen-denominated debt.

Key risks include demand and capacity trends in display and telecommunications markets, global economic and geopolitical conditions, supply-chain and component availability, commodity and energy costs, foreign-exchange volatility, interest rates, customer concentration and creditworthiness, technology changes, cyber and operational disruption, litigation, environmental matters, tax changes, and the ability to achieve pricing, cost reduction, margin, and capital-spending objectives.

Environmental reserves were approximately $111 million at September 30, 2022, compared with $55 million at December 31, 2021, relating to 19 hazardous-waste sites. Management stated that the risk of an additional materially higher loss is remote. Corning also disclosed South Korean tax appeals involving non-current receivables of $322 million and believes it is more likely than not to prevail.

Important facts for investors to verify

  • Reconcile reported GAAP results with management’s core, constant-currency measures and assess the recurring nature of the $217 million year-to-date capacity-optimization charges.
  • Monitor Display Technologies demand, panel-maker utilization, pricing, and the resulting effect on margins and cash generation.
  • Assess whether Optical Communications and Hemlock growth can offset weakness in display, mobile-device, automotive, and COVID-related Life Sciences demand.
  • Review inventory growth to $2.951 billion and its contribution to the year-to-date decline in operating cash flow.
  • Verify foreign-exchange exposures, hedge positions, and the volatility of translated earnings contract gains and losses.
  • Review debt maturities, the remaining approximately $507 million payment related to the Samsung Display share repurchase agreement due April 8, 2023, and available liquidity.
  • Track environmental reserves, South Korean tax appeals, other legal contingencies, and the company’s assessment that material adverse outcomes are unlikely.
  • Confirm the fourth-quarter core sales outlook of $3.45 billion to $3.65 billion against subsequent reported results.
