- Q2 sales increased 5.6%, reflecting comparable-sales growth of 4.9% and a 1.8% acquisition benefit, partially offset by a 1.1% unfavorable foreign-currency and other impact. First-half comparable sales grew 6.8%.
- Q2 gross margin expanded 110 basis points; first-half margin expanded 70 basis points, primarily reflecting pricing and sourcing initiatives.
- Q2 operating expenses rose 15.7%, faster than sales. SG&A was 26.7% of sales versus 24.3% a year earlier; excluding prior-year unusual items, the increase was 100 basis points, driven mainly by wage inflation and IT investment.
- Automotive Q2 sales were $3,655 (+5.4%) and segment profit was $329 (+2.1%); margin declined to 9.0% from 9.3%. Industrial sales were $2,260 (+5.9%) and segment profit was $283 (+25.7%); margin rose to 12.5% from 10.6%. Total segment margin improved to 10.4% from 9.8%.
- Q2 GAAP net income and EPS declined partly because Q2 2022 included $77 million of net unusual income, primarily a real-estate sale gain offset by Kaman Distribution Group acquisition costs. Excluding those items, management reported adjusted net income growth of 10.0% and adjusted diluted EPS growth of 10.9%. First-half 2022 included $51 million of similar net income; on the company’s adjusted basis, first-half net income grew 12.0% and adjusted diluted EPS grew 12.8%.
Cash flow, balance sheet and liquidity
- First-half operating cash flow was $457, down from $791 in 2022. Management attributed the decline partly to the prior-year $200 million benefit from increasing the receivables sales facility limit and to working-capital changes, including about two additional days in sales outstanding amid challenging economic conditions.
- First-half investing cash outflow was $226, including $205 of capital expenditures and $106 of acquisitions and other investing activities, partly offset by $80 of proceeds from selling remaining S.P. Richards and other investments. Financing cash outflow was $358, including $260 of dividends and $135 of share repurchases.
- Cash was $530 at June 30, 2023, down $123 from year-end 2022. Total debt was approximately $3.4 billion, up $75 from year-end; the balance sheet reports $418 of current debt and $2,986 of long-term debt. Average debt cost was 2.39%.
- Reported total liquidity was $2.0 billion, comprising $530 million cash and $1.4 billion available on the revolving credit facility. The company said cash from operations and existing credit lines should be sufficient for expected operating and capital commitments, debt obligations and dividends. It was in compliance with debt covenants.
- Outstanding obligations under voluntary supplier-finance programs were $2.9 billion at June 30, down from $3.1 billion at December 31, 2022; these amounts are included in accounts payable. The company reported approximately $1.0 billion of receivables sold and outstanding under its accounts-receivable sales agreement.
- The quarterly dividend was $0.95 per share. The company announced a 6% increase in its regular 2023 dividend, to an annual rate of $3.80 per share.
Outlook, risks and contingencies
- The filing provides an estimated full-year effective tax rate of 24.4%–24.8%, but no specific revenue or earnings guidance. Management cited continued customer demand, pricing initiatives and Industrial growth, while noting lower-than-expected U.S. Automotive sales.
- Management identified risks including economic conditions, inflation and cost increases, slower product demand, supplier and labor constraints, foreign-exchange movements, competition, acquisitions and integration, information-system disruption or breach, and litigation. The filing says market-risk exposure had not changed materially since year-end 2022.
- Approximately 2,200 product-liability lawsuits were pending. The accrued liability for pending and future claims was $208 million at June 30, within a disclosed estimated range of $182 million to $257 million; the estimate is discounted. Management reported no significant litigation developments from the 2022 Form 10-K.
- The company guarantees certain borrowings of independent automotive-parts stores and affiliates; guaranteed borrowings totaled approximately $956 million. The company reported compliance with related covenants and said the expected-credit-loss reserve was not material.
- Disclosure controls and procedures were assessed as effective, with no reported material change in internal control over financial reporting during the quarter.
