Revenue declined 13.5% (13.8% on a constant-currency basis), primarily on lower Server unit volumes and lower average selling prices in Server and Hybrid Cloud. Gross margin improved 2.4 percentage points, reflecting favorable Intelligent Edge mix, lower supply-chain costs and Russia/Belarus exit cost recoveries, partly offset by lower Server pricing. Net earnings fell 22.8%; interest and other expense increased to $88 million from $26 million, mainly due to losses on equity investments.

Segment operating margins were 11.4% for Server, 3.8% for Hybrid Cloud, 29.4% for Intelligent Edge and 8.5% for Financial Services. Current assets were $20.244 billion and current liabilities $22.635 billion. Outlook, material developments and risks

  • Management expects the mixed macroeconomic environment and conservative customer spending to constrain near-term revenue growth. Supply constraints have eased but remain, and elongated sales cycles and uneven demand persist. HPE did not provide a specific quarterly or full-year earnings or revenue forecast in the supplied filing text.
  • HPE reported Q1 annualized revenue run-rate for as-a-service offerings of $1.426 billion, up 42% year over year. This is a management-defined metric, not a revenue forecast.
  • On January 9, 2024, HPE agreed to acquire Juniper Networks for $40 per share in cash, approximately $14 billion equity value. Closing requires regulatory and shareholder approvals and other conditions. HPE secured a $14 billion term-loan commitment, undrawn at quarter-end; the filing identifies a potential $815 million termination fee in specified circumstances.
  • HPE’s planned sale of its 49% H3C stake to UNIS for $3.5 billion pre-tax remains subject to regulatory approvals and closing conditions.
  • Operating cash flow improved year over year, but free cash flow remained negative. HPE says cash generation, available financing and capital-market access should meet liquidity needs for at least the next 12 months; this is subject to business and market risks.
  • HPE disclosed that a nation-state-associated actor accessed and exfiltrated data from its cloud email and SharePoint environments beginning in May 2023; the company learned of the incident in December 2023. The filing warns of potential reputational, customer, regulatory and financial consequences.
  • A German court issued an injunction in a patent case involving Intel processors in certain HPE products. HPE appealed and sought a stay; Intel is indemnifying HPE, but any unindemnified loss could not be reasonably estimated.
  • The IRS finalized proposed transfer-pricing adjustments seeking to increase taxable income by $904 million for fiscal 2017–2019. HPE disputes the position, says tax credit carryforwards could offset incremental tax, and made no change to its reserves.
  • Goodwill impairment testing found only a 4% fair-value cushion for each of the Compute and HPC & AI reporting units. HPE cited demand, pricing, supply-chain and execution risks that could contribute to future impairment.

Important facts for investors to verify

  • Whether Server demand, pricing and margins stabilize, and whether the inventory build converts to accepted sales and cash.
  • Progress on Juniper regulatory and shareholder approvals, final financing mix, expected leverage and integration plans.
  • Timing and certainty of the H3C sale proceeds and intended allocation of capital.
  • Developments, customer impacts and potential costs from the disclosed cybersecurity incident and German patent injunction.
  • Resolution of the IRS dispute and ongoing monitoring of Compute and HPC & AI goodwill valuation headroom.

Non-GAAP results are supplemental and exclude specified items; they should be considered alongside GAAP results. HPE reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.
