  • Q3 revenue increased 1.4% year over year; nine-month revenue rose 45.5%. In Q3, ValidClick revenue declined 3%, while IntentKey revenue grew 12%. For the nine months, ValidClick grew 19.8% and IntentKey 121%.
  • Margins weakened substantially, primarily as IntentKey became a larger share of revenue. Management says ValidClick has higher gross margins and IntentKey carries greater advertising-inventory costs.
  • Q3 operating expenses were $14.1 million, down 5.2% year over year; nine-month expenses were $42.3 million, up 7.5%. Q3 marketing costs fell, while compensation and general and administrative costs increased.

Cash, liquidity and balance sheet

  • At September 30, cash and cash equivalents were $5.8 million and short-term marketable securities were $1.9 million, totaling approximately $7.7 million. Net working capital was $5.9 million, versus $12.4 million at December 31, 2021.
  • Total assets were $37.8 million and stockholders’ equity was $25.2 million. The accumulated deficit was $153.1 million.
  • No amount was outstanding under the $5 million Hitachi credit facility. Borrowing availability is subject to eligible receivables, and the facility bears interest at prime plus 2%, subject to a 6.75% minimum. Lease liabilities totaled approximately $0.5 million.
  • For the first nine months, operating cash use was $2.8 million, investing cash use was $1.6 million, and financing cash use was $0.3 million. Cash declined $4.7 million from year-end 2021.
  • Accounts receivable was $9.6 million; the doubtful-account allowance increased to $462,480 from $202,904 at year-end.

Material changes, outlook and risks

  • Management attributes Q3 ValidClick weakness partly to accounts being shut down amid a dispute with an advertising platform over allegedly invalid clicks. Inuvo says it refunded $1.5 million to affected clients and reversed related revenue from Q2. It demanded repayment from the network and withheld approximately $1.4 million in net payments, which it continues to record as marketing expense and accounts payable. The matter was in arbitration, and recovery remained unresolved at September 30.
  • The three largest customers represented 74.0% of Q3 revenue (33.1%, 30.0% and 10.9%) and 61.6% of nine-month revenue. They accounted for 70.3% of gross receivables at quarter-end. Management identifies customer loss, reduced advertising budgets, and late payment as material risks.
  • Management expects current cash and the credit facility to support operations for 12 months from the filing date. It is prioritizing IntentKey growth and says successful execution could restore positive operating cash flow, but provides no specific financial guidance and gives no assurance of achieving that result. Longer-term funding may require securities sales, debt, or partnering/licensing transactions.
  • Other risks include recurring losses and operating cash outflows, higher working-capital needs as IntentKey grows, economic and advertising-demand weakness, seasonality, supplier and traffic-acquisition dependence, privacy and regulatory issues, and potential dilution. The 2017 equity plan was amended to reserve an additional 15 million shares.
  • Other income/expense included net realized and unrealized investment losses of approximately $0.4 million for the nine months. The filing lists no legal proceedings, while separately disclosing the advertising-platform arbitration. Management reported disclosure controls were effective and no material change in internal control during the quarter.

Investor verification points

  • Check the status, timing, and potential recovery from the invalid-traffic arbitration, including treatment of the $1.4 million withheld and the client refunds/revenue reversal.
  • Monitor customer concentration, receivable collections, the increased doubtful-account allowance, and the effect of IntentKey growth on cash conversion and working capital.
  • Track gross margins and platform mix, operating cash use, liquidity runway, and whether the unused credit facility provides meaningful borrowing capacity.
  • Review marketable-security valuation changes and potential dilution from outstanding equity awards and the expanded share reserve.
