Management attributed the increase in related-party interest income to higher interest rates. Advisory fees paid to Pillar were $380 in Q2 and $699 for the first half, compared with $273 and $541, respectively, in 2022. The filing does not present a meaningful operating margin because reported revenue was zero and earnings primarily reflect interest income.

At June 30, 2023, total assets were $114,870, including $103,030 due from related parties and $11,173 in notes receivable from related parties. Cash was $2; accounts payable was $1; shareholders’ equity was $114,869. No debt balance is reported on the balance sheet. The four UHF notes carry 12% interest and mature December 31, 2032. TCI receivables are loans and advances, net of unreimbursed fees, and bear interest at prime plus 1%.

For the first half, operating activities used $4 of cash, compared with $1 used in 2022. Cash declined from $6 to $2. The increase in related-party receivables was a $2,896 use of cash.

Changes, outlook and risks

  • Net income rose to $1,834 from $848 for Q2 and to $2,884 from $1,474 for the first half. Interest income from related parties increased by $1,345 and $1,959, respectively.
  • Total assets increased from $111,989 at December 31, 2022 to $114,870 at June 30, 2023, mainly alongside growth in TCI receivables; retained earnings increased with net income.
  • Management expects cash on hand and collections from notes and interest receivables over the next 12 months to meet current cash requirements. Separately, the commitments note says anticipated excess cash from property operations might not be sufficient to discharge all obligations as due.
  • IOR notes that related-party transactions may not be on arm’s-length terms or necessarily be in its best interest. Its results and liquidity depend substantially on amounts owed by related parties and their ability to pay.
  • Other stated risks include financing availability and terms, economic downturns and higher interest rates, uninsured losses and environmental contamination, and dependence on key personnel. The company reported no material changes to the risk factors in its 2022 Form 10-K. No legal proceedings were reported.
  • Management concluded disclosure controls were effective; no material change in internal control over financial reporting was reported. The filing provides no quantitative earnings or investment guidance.

Key facts for investors to verify

  • Recoverability, repayment timing and terms of the $103,030 TCI receivable, including the effect of prime-plus-1% interest and related-party concentration.
  • UHF’s ability to make payments on the $11,173 in notes, given that principal and interest depend on surplus property cash flow, sales or refinancing.
  • Near-term liquidity: cash was only $2, while the filing gives both management’s expectation of sufficient collections and a caution that excess cash may not cover all obligations.
  • How higher interest rates affect interest income, related-party borrowers’ capacity to pay, and future advisory and administrative expenses.
