Revenue was primarily generated by the Mackay mineral lease, including $375,000 of quarterly lease payments and $15,625 of initiation-fee amortization. Revenue remained substantially below operating expenses; the filing does not present a meaningful gross margin because no cost-of-sales line is reported. Operating expenses were $5.1 million, including $3.5 million of selling, general and administrative expense, $0.9 million of research and development, and $0.7 million of depreciation and amortization.

The net loss increase was principally driven by a $1.5 million unfavorable swing in derivative fair-value changes, higher interest expense of $203,483, the absence of the $178,193 facility-sale gain recorded in Q1 2023, and higher other expense. These items were partly offset by higher revenue, lower research and development expense, and a smaller debt-conversion loss.

  • Cash and cash equivalents declined to $466,976 from $3,785,577 at December 31, 2023.
  • Working capital was $7.3 million, based on current assets of $22.1 million and current liabilities of $14.8 million.
  • Total debt principal was $13.4 million; debt net of discounts and issuance costs was $10.9 million, including $3.0 million current and $7.9 million long-term.
  • Total liabilities were $30.9 million and total stockholders’ equity was $74.0 million at March 31, 2024.
  • Derivative liabilities totaled $5.5 million, including the Kips Bay convertible-debt derivative, LINICO-related derivative and Haywood derivative.
  • Investments totaled $51.4 million, including Green Li-ion of $18.9 million, Sierra Springs Opportunity Fund of $19.5 million and equity-method investments of $12.9 million.

Material Changes Versus the Prior Comparable Period

  • Revenue increased more than fourteenfold to $425,951, almost entirely because of the Mackay mineral lease; Fuels and Metals reported no revenue in the quarter.
  • Operating loss improved despite higher SG&A because research and development expense declined by $376,366 and the prior-year facility-sale loss benefit was absent from operating expenses.
  • Interest expense rose to $818,661, mainly because of the Kips Bay Note and Alvin Fund 2023 Note issued or originated in late 2023.
  • Derivative results changed from a $698,595 gain in Q1 2023 to a $756,118 loss in Q1 2024.
  • Investing cash flow changed from $7.9 million provided in Q1 2023, which included $11.0 million of facility-sale proceeds, to $2.6 million used in Q1 2024.
  • Financing cash flow increased to $3.1 million, supported by $2.0 million of additional Kips Bay borrowings and equity issuances.
  • Common shares issued and outstanding increased during the quarter, with equity issued for financing, debt conversion, interest, fees and other obligations. The company also retired 2,605,322 treasury shares.

Guidance, Outlook, Risks and Unusual Items

Management expects 2024 to focus on commercialization and continued technology development. Comstock Metals began commissioning its first photovoltaic recycling demonstration facility and expects to begin receiving tipping-fee and recycled-metal revenue in Q2 2024. Management expects the facility to expand from one shift to three shifts over the following two quarters.

Comstock Fuels is pursuing joint-development, engineering, licensing, feedstock and offtake agreements. Management stated that individual projects could generate millions of dollars of technical-services and engineering revenue and potentially 15 to 20 years of royalty revenue, but no such future revenue is assured.

Mining is expected to generate lease and related fee income. Management cited an objective of receiving more than $2 million from mineral leases in 2024. The company also intends to market Green Li-ion shares and Silver Springs land and water rights, with management discussing potential proceeds of up to approximately $19 million from Green Li-ion and more than $40 million from certain real estate assets; these are expectations, not committed proceeds.

Liquidity remains a material risk. Management expects to fund the next twelve months through existing cash, lease revenue, technology and engineering revenue, asset and investment sales, and additional equity or debt financing. Cash at quarter-end was only $466,976, and the filing states that failure to obtain needed funding could materially impair liquidity and raise substantial doubt about the company’s ability to continue as a going concern. Management nevertheless concluded that expected funding sources should be sufficient for the twelve months following issuance of the financial statements.

  • Subsequent to quarter-end, the company issued substantial additional equity, including 4,975,000 shares to AST, 1,500,000 shares related to the Haywood transaction, 3,556,207 shares to ClearThink for $1.0 million, and additional shares upon Kips Bay conversions.
  • AST obligations were amended to provide for share issuance and a potential cash true-up, including a $3.5 million obligation subject to specified adjustments and 12% interest.
  • GHF and Alvin Fund debt maturities and interest terms were amended in April 2024; the GHF maturity was extended to April 15, 2026 and its rate increased to 12%, while the Alvin Fund 2023 Note rate increased to 12% and related maturities were extended.
  • Comstock entered into a RenFuel agreement involving up to $3.0 million of additional investment through a 7% senior secured convertible note.
  • A non-binding GenMat memorandum of understanding would require up to $25 million of additional funding, subject to conditions, while reducing Comstock’s fully diluted GenMat interest from its existing position to 31.97%.
  • Key risks include dependence on financing and asset sales, dilution from equity issuance and debt conversions, derivative and share-price volatility, commercialization and permitting risk, environmental obligations, commodity-price fluctuations, related-party transactions, and the speculative nature of mining and emerging technologies.
