Reported net margin was approximately 6.2% of total interest and other income, compared with approximately 4.3% in the prior-year quarter. The effective tax rate was 24.0%, versus 23.7% in Q1 2023. Management expects a 22%–24% tax rate for the remainder of 2024.

  • Loan servicing and systems revenue declined to $127.2 million from $139.2 million, primarily because of lower government servicing pricing and volumes, reduced software revenue, and expired outsourcing contracts.
  • Education technology services and payments revenue increased to $143.5 million from $133.6 million. Net revenue after direct service costs was $94.9 million, compared with $85.9 million, and the segment’s before-tax margin excluding net interest income increased to 41.9% from 36.8%.
  • Solar construction revenue rose to $13.7 million from $8.7 million, but direct solar service costs exceeded revenue by $0.5 million in Q1 2024.
  • Derivative market value adjustments changed from a $37.4 million expense in Q1 2023 to a $8.0 million gain in Q1 2024. Excluding these adjustments, non-GAAP net income attributable to Nelnet was $67.2 million, or $1.81 per share, versus $54.9 million, or $1.47 per share.

Balance sheet, debt, liquidity, and cash flow

  • Total assets were $15.4 billion at March 31, 2024, down from $16.7 billion at December 31, 2023. Net loans and accrued interest receivable declined to $11.8 billion from $13.1 billion, primarily reflecting portfolio runoff, loan losses, and loan sales.
  • Bonds and notes payable declined to $10.6 billion from $11.8 billion. Debt repayments were $1.28 billion during the quarter, compared with $1.42 billion in Q1 2023.
  • Total cash, cash equivalents, and restricted cash were $940.8 million at quarter-end, down from $1.03 billion at year-end. Cash and cash equivalents alone increased to $179.7 million from $168.1 million.
  • Management identified approximately $1.39 billion of liquidity sources, including $156.8 million of net cash outside Nelnet Bank, $288.9 million of unencumbered available-for-sale debt securities, $139.4 million of unencumbered loans, $310.3 million of repurchased Nelnet-issued securities, and $495.0 million available under an unsecured line of credit.
  • Net cash provided by investing activities was $1.09 billion, while financing activities used $1.38 billion. Financing uses included debt repayments, a $10.4 million dividend payment, $35.5 million of share repurchases, and a $150.7 million reduction in amounts due to customers.
  • Nelnet Bank had $802.1 million of consolidated deposits and a $483.7 million loan portfolio at March 31, 2024. Its regulatory leverage ratio was 13.0%, above the FDIC-required 12% level. Management expects additional capital contributions to Nelnet Bank in future periods.

Material changes versus the prior comparable period

  • Net income attributable to Nelnet increased 176%, primarily due to lower loan-loss provisions, favorable derivative valuation changes, higher education technology revenue, higher investment interest, and lower ALLO losses.
  • AGM’s core loan spread declined to 0.84% from 1.57%, and its average loan balance declined to $11.6 billion from $14.0 billion. The decrease was partly offset by lower loan-loss provisions and higher investment interest.
  • Nelnet’s federally insured loan portfolio continued to run off. The AGM loan balance declined to $10.8 billion from $12.0 billion at December 31, 2023 and $13.5 billion at March 31, 2023.
  • Loan servicing volume declined to $532.2 billion from $578.6 billion at March 31, 2023, and serviced borrowers declined to 15.9 million from 17.3 million.
  • Nelnet repurchased 396,724 Class A shares for $35.5 million during the quarter. An additional 421,102 shares were repurchased for $39.8 million through May 9, 2024.
  • ALLO voting-interest losses declined to $10.7 million from $20.2 million. The preferred return on Nelnet’s ALLO preferred membership interests increased from 6.25% to 10.00% on April 1, 2024.

Guidance, outlook, risks, and unusual items

  • Nelnet Servicing’s new five-year-base-period Unified Servicing and Data Solution contract went live April 1, 2024. Management expects lower blended revenue per borrower than under the legacy Department of Education contract, although change-request and support-service revenue may provide additional amounts.
  • The Department of Education’s allocation of servicing volume among five servicers, potential student-loan forgiveness, loan consolidation, and future contract terms could materially affect servicing revenue and the FFELP portfolio’s runoff.
  • The company expects residential solar construction revenue to decline as existing contracts are completed because it announced on April 12, 2024 that the solar EPC business would focus exclusively on commercial solar. Existing projects may continue to generate low or negative margins.
  • Nelnet had commitments to fund an additional $146.6 million of solar tax equity investments, of which $76.2 million was expected from syndication partners.
  • Management forecast approximately $1.22 billion of future undiscounted cash flows from asset-backed securitizations, including approximately $780 million of overcollateralization. The forecast is sensitive to prepayments, defaults, interest rates, and basis spreads; a 12-basis-point increase in the assumed Term SOFR versus 30-day average SOFR spread could reduce forecast cash flows by approximately $40 million to $60 million.
  • Key risks include interest-rate and basis risk, loan prepayments and credit losses, warehouse and repurchase-facility renewals, liquidity and funding costs, regulatory capital requirements at Nelnet Bank, servicing-system and cybersecurity risks, government program changes, litigation, solar tax-credit recapture, ALLO funding needs, and investment valuation volatility.
  • Available-for-sale debt securities had $27.8 million of gross unrealized losses and $482.7 million of fair value in unrealized-loss positions. Management stated that it had the intent and ability to retain these investments and that the losses were not credit losses.

Important facts for investors to verify

  • Assess the actual borrower volumes and pricing achieved under the new government servicing contract beginning in Q2 2024.
  • Track the pace of FFELP portfolio runoff, federal loan forgiveness or consolidation activity, and its effect on future cash flows and servicing revenue.
  • Reconcile GAAP earnings with results excluding derivative market value adjustments and monitor the sustainability of the improved Q1 comparison.
  • Review loan delinquencies, charge-offs, and allowance adequacy, particularly in consumer loans and Nelnet Bank’s growing portfolios.
  • Verify the refinancing or renewal of warehouse facilities and the December 2024 maturities of the repurchase agreement.
  • Monitor Nelnet Bank’s capital ratio, deposit growth, liquidity restrictions, and expected parent-company capital contributions.
  • Evaluate solar project funding commitments, residential-project wind-down costs, tax-credit recapture exposure, and ALLO’s future capital requirements.
