Net profit margin was approximately 28.5% in Q1 2024, compared with approximately 16.9% in Q1 2023. The improvement primarily reflected higher revenue, lower impairment charges and lower depreciation and amortization, partly offset by higher credit-loss provisions and the absence of the prior-year gain on asset sales.
Cash, cash equivalents and restricted cash totaled $363.0 million at March 31, 2024, down $81.7 million during the quarter. Investing activities used $47.5 million, principally for loan funding, construction and capital improvements. Financing activities used $186.0 million, including $164.8 million of dividends and $41.9 million of debt repayments, partially offset by $32.4 million of common-stock issuance proceeds.
Debt was $5.0 billion on the balance sheet, excluding certain presentation effects, and represented 57.8% of total capitalization. The weighted-average annual interest rate was 4.4%, and 99% of debt with outstanding principal had fixed interest payments after giving effect to interest-rate swaps. The Company reported $1.4 billion of availability under its revolving credit facility and $675.9 million of remaining capacity under its ATM program. It was in compliance with applicable debt covenants.
Material changes versus the prior comparable period
- Revenue increased $25.1 million, driven by facility acquisitions, lease extensions, rent escalations, new and expanded loans, and the absence of a $12.5 million Maplewood option-termination-fee reduction recorded in Q1 2023.
- Interest income increased $7.4 million, primarily from new loans and additional fundings. This was partly offset by lower income from non-accrual loans, including Maplewood.
- Impairment expense declined to $5.3 million from $39.0 million.
- The provision for credit losses changed to an $8.5 million expense from a $4.1 million recovery. The increase primarily reflected a higher risk assessment for the Maplewood loan and higher loan balances and loss rates.
- Q1 2024 included a $1.4 million loss on asset sales, compared with a $13.6 million gain in Q1 2023.
- Depreciation and amortization declined $6.6 million, while acquisition, merger and transition costs increased $2.0 million.
- Omega acquired two facilities for $13.3 million, funded $41.2 million of new real estate loans at a weighted-average 9.6% rate, and advanced $2.8 million under existing real estate loans.
- Omega sold four skilled nursing facilities for $10.1 million of net proceeds and recorded a $1.4 million net loss.
- The Company issued approximately 1.0 million shares through its ATM program and 29,000 shares through its dividend reinvestment plan, generating aggregate gross proceeds of approximately $33.2 million.
Guidance, outlook, management commentary, risks and unusual items
The filing does not provide a specific quantitative earnings or FFO outlook. Management stated that available cash, operating cash flow, revolving-credit capacity, equity issuance capacity, asset sales and other financing sources are expected to fund anticipated needs for the next twelve months, including dividends, debt service, investments, loan advances and operating expenses.
- Operator collectibility remains a central risk. Twenty operators were on a cash basis of revenue recognition at March 31, 2024, representing 18.4% of Q1 revenue.
- Maplewood paid $11.3 million of $17.8 million due under its lease and loan agreements, missed $0.5 million of loan interest, and had its internal loan risk rating reduced from 4 to 5. Its secured revolving credit facility had a $263.6 million amortized cost basis, or 19.6% of real estate loan receivables. Maplewood short-paid $2.2 million in April.
- LaVie paid $4.4 million of $9.9 million due in Q1. Omega reduced monthly rent under the amended master lease to $3.2 million; LaVie short-paid April obligations by $1.7 million.
- Guardian made no contractual lease payments in Q1; Omega recognized only $0.1 million through application of the remaining security deposit. Six remaining Guardian facilities were transitioned to a new operator in April.
- Credit-loss reserves totaled $229.8 million at March 31, 2024, including $120.9 million against non-real estate loans and $100.4 million against real estate loans.
- Long-term risks include operator bankruptcies, staffing shortages, inflation, occupancy pressure, Medicaid and Medicare reimbursement changes, the phase-out of pandemic-related support, and new federal minimum staffing requirements for skilled nursing facilities.
- The Change Healthcare cybersecurity incident caused reimbursement delays for certain operators. Management did not believe the incident was reasonably likely to materially affect Omega’s financial condition or results at the filing date.
- The Company repaid its $400 million of 4.95% senior notes on April 1, 2024 using cash and revolving-credit proceeds, and subsequently repaid a $19.8 million term loan due April 30, 2024.
- Subsequent to quarter end, Omega acquired one Michigan facility for $31.0 million, acquired 32 U.K. facilities for $62.7 million, and funded $71.7 million of U.K. real estate loans.
- Remaining commitments at March 31, 2024 totaled $257.0 million, including $162.7 million of construction and capital commitments, $51.1 million of real estate loan commitments and $43.3 million of non-real estate loan commitments.
- Derivative litigation settlements remained subject to court approval. The Company had recorded a $2.8 million legal reserve, offset by an insurance receivable, with no income-statement impact reported.
Most important facts for investors to verify
