Material changes and unusual items
- Interest income rose $9.9 million year over year as average asset yield increased 72 basis points to 3.45%, but average RMBS holdings fell by $745.5 million.
- Borrowing costs increased sharply as rates rose: average GAAP cost of funds increased 138 basis points to 1.53%. Net interest income fell $44.7 million and GAAP spread narrowed from 2.58% to 1.92%.
- Net portfolio losses were $237.7 million, driven by $776.4 million of realized and unrealized losses on RMBS and Treasury notes, partly offset by $455.7 million of derivative gains. The company reported a $133.7 million realized loss on RMBS sales and $642.7 million of unrealized losses on RMBS and Treasury notes.
- Equity declined to $438.8 million from $768.1 million. The company repurchased 2.54 million shares during 2022 for approximately $24.5 million and issued 3.89 million shares in Q4 through its at-the-market program for net proceeds of $40.6 million.

Outlook, risks and other disclosures
- Management outlook: The filing provides no formal numerical earnings or dividend guidance. Management described an inverted yield curve and elevated funding costs as pressures on net interest income. It said agency RMBS spreads remained wider than pre-pandemic levels and suggested sector prices could perform well absent renewed inflation, while spreads could remain depressed unless funding rates decline. These statements are forward-looking, not assurances.
- Key risks: Interest-rate and spread changes can reduce asset values and book equity; faster or slower mortgage prepayments can affect asset cash flows and values; and short-term repo financing exposes the company to rollover, haircut and margin-call risk. Hedging may not offset these exposures. Other notable risks include market liquidity, counterparty performance, Federal Reserve balance-sheet reduction, the future of Fannie Mae and Freddie Mac support, and the LIBOR-to-SOFR transition.
- Structure and governance: Orchid is externally managed by Bimini Advisors and has no employees. The related-party management agreement includes non-performance-based fees and a substantial termination fee if Orchid ends it without cause. The company must maintain REIT qualification and its Investment Company Act exemption.
- Contingencies and audit: Management reported no material pending legal proceedings and no known contingencies at year-end; no material capital-expenditure commitments were reported. The auditor issued unqualified opinions on the financial statements and internal controls. RMBS valuation was identified as a critical audit matter because it involves judgment in selecting fair values from pricing sources and broker quotes.
Important facts for investors to verify

- How subsequent share issuance, repurchases and dividends affect per-share book value, ownership dilution and cash available for distributions.
- Whether the company continues to meet REIT distribution and asset tests and the Investment Company Act exemption requirements.
