Reddit, Inc. — Q1 2024 Form 10-Q

Reporting period: Three months ended March 31, 2024; unaudited. Reddit completed its IPO on March 25, 2024, making Q1 results notable for substantial IPO-related stock-based compensation and financing activity.

Advertising generated $222.7 million of revenue, up from $160.1 million; other revenue, primarily including data licensing, rose to $20.3 million from $3.7 million. Management attributed advertising growth mainly to more impressions delivered, partly offset by lower pricing, and the increase in other revenue to data licensing agreements executed in 2024.

Global DAUq was 82.7 million, up 37% year over year; U.S. DAUq grew 45% and rest-of-world DAUq 30%. Global ARPU increased 8% to $2.94, including $4.77 in the U.S. and $1.10 in the rest of the world. Management cited product improvements and search-engine momentum for user growth, and higher data-licensing revenue for ARPU growth. It cautions that DAUq comparisons are affected by historical measurement changes, including the migration away from Google AMP.

Operating cash flow included a $577.5 million noncash stock-based compensation adjustment and favorable working-capital movements, including collections of receivables. Q1 stock-based compensation was $577.5 million, mainly from IPO-triggered vesting of employee RSUs. The IPO generated $600.0 million of net proceeds for Reddit; the company also paid $194.7 million in taxes related to net share settlement of RSUs.

Balance sheet, liquidity, and debt

At March 31, 2024, cash and cash equivalents were $968.5 million and marketable securities were $701.8 million, totaling approximately $1.67 billion. Total assets were $2.02 billion and total liabilities were $177.6 million. The balance sheet reports no funded debt; the company had $745.1 million available under its $750 million revolving credit facility, after letters of credit. The facility is secured by substantially all assets, including intellectual property, includes a minimum-liquidity covenant, and was in compliance as of quarter-end.

Management believes cash, marketable securities, and available credit will cover working-capital and capital-expenditure needs for at least the next 12 months, while noting that additional capital may be needed in the future. Remaining performance obligations under contracts longer than one year were $188.1 million, primarily data-licensing contracts; approximately $68.0 million is expected to be recognized within 12 months.

Changes, outlook, risks, and unusual items

  • IPO and equity compensation: Reddit issued 18.6 million Class A shares in its IPO at $34 per share and converted its outstanding preferred stock into common stock. The IPO triggered $534.7 million of stock-based compensation expense. The resulting unusually large GAAP loss should be distinguished from underlying operating performance and from adjusted EBITDA.
  • Outlook: The filing does not provide specific quarterly or annual financial guidance. Management expects near-term revenue growth to decline after strong recent growth; it also identifies seasonality, with advertising typically strongest in Q4. It plans to invest in products, infrastructure, international growth, and monetization, which may raise costs and pressure margins.
  • Data licensing and regulation: The company is at an early stage of data licensing and notes that contract value to date is substantially concentrated in one partner. Reddit disclosed a March 14, 2024 FTC letter concerning a non-public inquiry into its licensing, sale, or sharing of user-generated content to train AI models. Reddit says it does not believe it engaged in unfair or deceptive practices; the inquiry may involve costs, operational changes, or reputational risk.
  • Other legal and operating risks: Reddit disclosed a March 18, 2024 letter from Nokia alleging patent infringement; Reddit said it would evaluate the claims. The filing also highlights dependence on advertising, search-engine traffic, user-generated content and volunteer moderators; privacy, security, content-moderation and regulatory exposure; and risks to international expansion and data-licensing growth. No material changes to other legal matters were reported for the quarter.
  • Governance and shares: Class B shares carry 10 votes each versus one vote per Class A share. Advance has designated governance and consent rights, and the filing warns that lock-up expirations, RSU tax-related share sales, and other eligible sales may affect the stock price.

Important facts for investors to verify

  • How much of future revenue growth and ARPU depends on data-licensing agreements, including the renewal terms and concentration of those contracts.
  • Whether user growth and advertising monetization persist, given lower ad pricing, international ARPU differences, seasonality, and the filing’s caveats about DAUq comparability.
  • How operating expenses and stock-based compensation evolve after the one-time IPO-triggered vesting, and whether operating performance can improve without relying on non-GAAP adjustments.
  • Developments in the FTC inquiry and Nokia patent claims, including any resulting costs, restrictions, or changes to data-licensing practices.
  • The timing and scale of potential share sales, and the implications of the dual-class voting structure and Advance’s governance rights.
