Oil revenue was $353.9 million, natural gas revenue was $43.0 million and NGL revenue was $16.7 million. Average realized prices increased to $93.42 per barrel for oil, $4.97 per Mcf for natural gas and $36.54 per barrel for NGLs. Total production declined 4% to 63.2 MBoepd, while realized price per Boe increased to $72.72 from $44.87. Including realized derivatives, price per Boe was $50.37.

Lease operating expense decreased 10% to $59.8 million, or $10.52 per Boe. General and administrative expense increased 17% to $22.5 million, partly because of $2.3 million of CCS-related expenses and higher equity-based compensation.

Net loss included $281.2 million of price risk management expense, consisting of $127.1 million of cash settlement losses and $154.1 million of unrealized losses. A $27.5 million litigation settlement gain recorded in other income partially offset these effects. The effective tax rate was 0.7%, reflecting a $0.5 million tax benefit and a full valuation allowance on U.S. federal, state and foreign deferred tax assets.

Liquidity, cash flow and debt

  • Cash and cash equivalents were $78.3 million at March 31, 2022, compared with $69.9 million at December 31, 2021.
  • Cash flow from operations of $113.6 million funded $59.4 million of investing cash uses and $45.7 million of financing cash uses, producing an $8.5 million increase in cash.
  • Debt before discounts and deferred financing costs totaled $996.1 million, consisting primarily of $650.0 million of 12.00% second-priority senior secured notes due 2026 and $340.0 million outstanding under the Bank Credit Facility. The company also had $6.1 million of 7.50% senior notes due May 2022.
  • Total debt, net of discounts and deferred financing costs, was $931.1 million. The company reported compliance with all debt covenants.
  • Available liquidity at March 31, 2022 was $516.1 million, including cash and available Bank Credit Facility capacity. After quarter-end, the company paid down an additional $20.0 million and increased facility commitments to $806.3 million, resulting in pro forma available capacity of $472.7 million.
  • Derivative liabilities increased to $350.9 million from $196.7 million at year-end 2021. The company had contracted oil and natural gas swaps through June 2024.

Material changes versus the prior comparable period

  • Revenue increased primarily because of higher commodity prices, which contributed $161.5 million of the $146.7 million total revenue increase; lower production reduced revenue by $14.8 million.
  • Production fell from 66.1 MBoepd to 63.2 MBoepd. Approximately 40 days of unplanned third-party downtime on the Eugene Island Pipeline System deferred an estimated 4.7 MBoepd of production.
  • Operating income and Adjusted EBITDA improved substantially, but derivative losses more than doubled as commodity prices increased.
  • Operating cash flow increased by $46.7 million, while capital expenditures declined and financing cash flow shifted from a $36.5 million inflow in Q1 2021 to a $45.7 million outflow in Q1 2022 because the prior-year period included senior note issuance.
  • Stockholders’ equity declined to $695.1 million from $760.7 million, primarily because of the quarterly net loss.

Guidance, outlook, risks and unusual items

  • Management expects cash flows from operations, cash on hand and Bank Credit Facility availability to fund the remainder of the board-approved 2022 capital program of $450 million to $480 million, including approximately $30 million for CCS.
  • The company expects an approximately 45- to 60-day production shut-in in mid-2022 for required dry-docking of the Helix Producer I facility.
  • The final Zama Unitization Resolution appointed Pemex as operator. Talos holds a 17.35% participating interest, and the partners are developing a Unit Development Plan for regulatory submission. The plan could affect the value of Talos’s Mexico assets and may result in impairment of unevaluated properties.
  • Talos and partners entered into a May 2022 memorandum of understanding with Chevron to expand the Bayou Bend CCS project. The proposed ownership upon closing is Talos 25%, Carbonvert 25% and Chevron 50%, with Talos remaining operator; closing and final terms remain subject to conditions.
  • Key risks include commodity-price volatility, the Russia-Ukraine war and related sanctions, COVID-19 effects, offshore operating and weather risks, third-party transportation downtime, cybersecurity, inflation, regulatory changes, reserve uncertainty, and potentially higher BOEM supplemental bonding requirements.
  • Asset retirement obligations totaled $442.1 million at March 31, 2022, including $51.3 million classified as current. Performance bonds and letters of credit totaled approximately $707.1 million and $13.6 million, respectively.
  • The company received $27.5 million under a settlement of previously pending supplier litigation. It also recorded a $9.7 million incremental share-based compensation cost related to modifying executive performance awards.
