Q3 continuing-operations loss was $20.7 million, compared with a loss of $169.1 million a year earlier; nine-month continuing-operations loss was $149.8 million versus $35.3 million. Q3 net loss included a $65.6 million after-tax loss from discontinued operations. Revenue declined 4% in Q3 and 2% year to date: CSB growth was outweighed by lower Solar revenue. Solar Adjusted EBITDA was negative $40.8 million in Q3 and negative $88.7 million for the nine months; CSB Adjusted EBITDA rose to $623.4 million and $1.854 billion, respectively. Adjusted EBITDA is a non-GAAP measure.
At September 30, cash and cash equivalents were $238.6 million, with restricted cash of $117.5 million. The company reported $9.668 billion of debt on a carrying-value basis, including $835.3 million current maturities, and $3.239 billion of stockholders’ equity. Available capacity was $575 million under the revolving credit facility and approximately $77 million under the existing receivables facility; a new Solar receivables facility provided up to $300 million of uncommitted capacity, with no borrowings at quarter-end. Operating cash flow decreased $75.4 million year over year, primarily due to higher cash interest and payroll-tax payments. Investing cash outflow was $988.1 million and financing cash outflow was $275.1 million for the nine months.
Material changes and unusual items
- Commercial divestiture: ADT completed the sale to GTCR on October 2, 2023, for approximately $1.613 billion in cash and received net proceeds of approximately $1.585 billion, subject to adjustments. The company expects to recognize a significant gain in Q4 2023. It used about $1.3 billion of proceeds to repay the First Lien Term Loan due 2026 and planned to use remaining proceeds and cash on hand to redeem $500 million of 2024 notes by year-end.
- Solar impairment and restructuring: ADT recorded $511.2 million of Solar goodwill impairment in the first nine months, including $88.4 million in Q3; Solar goodwill was reduced to zero. On November 2, 2023, it announced significant branch closures and associated headcount reductions. Severance and other costs were not expected to be material, but future Solar revenue and results may be affected.
- Restatement and controls: The filing describes prior errors in Solar goodwill impairment and related tax accounting, requiring amendments to the 2022 annual report and 2022 and Q1 2023 quarterly reports. Management concluded disclosure controls were not effective at September 30 because of the previously disclosed material weakness; remediation was underway but not yet validated as effective.
- Other performance indicators: CSB recurring monthly revenue was $350.4 million, up 3% year over year; gross customer revenue attrition was 12.9%, unchanged. ADT served approximately 6.4 million security-monitoring subscribers, excluding divested commercial subscribers.
Outlook, commentary, and risks
The filing provides no clear numerical full-year guidance in the supplied text. Management said it expects liquidity from operating cash flow and available borrowing capacity to be adequate for operating and long-term needs. It cited inflation, higher interest rates, consumer and housing-market conditions, supply-chain disruption, and increased non-payment disconnects as pressures. CSB pricing and cost reductions have partly offset inflation. ADT expects to use significant tax-loss carryforwards against the Commercial sale gain and said it expects to use remaining NOLs during 2024; thereafter, it expects to begin paying federal cash taxes as incurred.
Key risks include Solar underperformance and restructuring execution, higher interest costs and substantial leverage, reduced diversification and greater dependence on CSB after the sale, customer retention and credit losses, and the possibility that the divestiture’s expected benefits are not achieved. The sale also entails transition services for up to 24 months and a 12-month ADT brand license. The company reported compliance with debt covenants at quarter-end. It also disclosed ongoing ordinary-course legal matters and a $110 million accrual for insured claims and lawsuits; it reported no material change in legal proceedings from its amended 2022 annual report.
