Business context and reporting period
Collegium markets specialty medicines in the United States, primarily for pain and opioid-induced constipation. Its portfolio includes Xtampza ER, Nucynta ER and IR, Belbuca, and Symproic. On March 22, 2022, Collegium acquired BioDelivery Sciences International (BDSI), adding Belbuca, Symproic, and Elyxyb. Elyxyb commercialization was discontinued in Q4 2022; the company agreed in February 2023 to transfer its related rights and obligations to Scilex.

Revenue rose $187.0 million, chiefly from $140.6 million of post-acquisition BDSI product sales, including $126.5 million from Belbuca. Xtampza ER revenue increased $35.1 million and Nucynta Products revenue increased $11.3 million. Reported gross margin declined, reflecting higher amortization and acquired-inventory fair-value step-up costs, among other factors.
GAAP net loss contrasts with 2021 net income, which included a $74.9 million income-tax benefit, primarily from releasing valuation allowances. Interest expense increased substantially after the acquisition-related debt financing. Adjusted EBITDA, a company-defined non-GAAP measure, was $266.0 million versus $118.3 million in 2021; it excludes, among other items, amortization, acquisition costs, and inventory step-up expense.
Q4 2022: Revenue was $129.6 million, gross profit $49.8 million, operating income $11.8 million, and net loss $7.2 million. Adjusted EBITDA was $76.4 million.
Operating cash flow was $124.2 million. Investing cash outflow included $572.1 million for the BDSI acquisition, net of acquired cash. Cash and cash equivalents were $173.7 million at year-end, plus $2.5 million of restricted cash. Current assets were $420.0 million and current liabilities $433.7 million, implying a current ratio of approximately 0.97. Management stated that cash and expected operating inflows should fund operations, debt service, and capital expenditures for the foreseeable future.
At December 31, 2022, the company had $575.0 million principal outstanding on its secured term loan and $143.8 million principal on its 2026 convertible notes. The term loan carried an 11.2% rate at year-end, based on LIBOR plus a 7.5% margin, and $162.5 million principal was due within 12 months. The loan is secured by substantially all company and material domestic subsidiary assets and includes restrictive covenants; the company reported covenant compliance. In February 2023, Collegium issued $241.5 million of 2.875% convertible notes due 2029 and repurchased $117.4 million principal of 2026 notes for approximately $140.1 million cash. These were subsequent events, not year-end balances.
Material changes, outlook, and risks
- BDSI acquisition: Total consideration was approximately $669.4 million. The transaction expanded the product portfolio but increased debt, amortization, and acquisition-related costs. The company reported $31.3 million of acquisition-related expenses in 2022 and said it did not expect further BDSI acquisition expenses.
- Portfolio focus: Research and development resources were redirected to commercial products; no R&D expenses were incurred after Q1 2022. Elyxyb’s $4.8 million intangible asset was impaired after the decision to discontinue commercialization.
- Returns and revenue estimates: Collegium recognized a $4.7 million revenue increase in 2022 from revised estimates and settlements of prior-period unprocessed return claims. A significant portion of denied wholesaler return claims remains unpaid and is not expected to be collected. Estimates of returns and other sales deductions remain judgment-sensitive.
- Outlook: No specific revenue, earnings, or other numerical guidance is provided. Management expects near- to medium-term effects from reduced pain-patient office visits and healthcare labor disruptions that began during the COVID-19 period. It expects continuing substantial commercialization expenses and expects acquired-inventory step-up costs to affect results until the acquired inventory is sold, anticipated within 12–18 months after acquisition.
- Key business exposures: Opioid regulation, DEA production quotas, pricing and reimbursement pressure, generic competition, product-label and REMS requirements, patent litigation, and dependence on contract manufacturers and limited API suppliers. The DEA reduced 2023 oxycodone and tapentadol supply quotas by an average of approximately 6%. Three customers each accounted for roughly 31%–33% of 2022 revenue; three wholesalers represented over 90% of product shipments.
- Litigation and contingencies: Collegium paid $2.75 million to settle 27 opioid-related lawsuits, which were dismissed with prejudice. State opioid-related investigations remain open, and the company is cooperating. Patent litigation involving Xtampza ER and Belbuca continues; management said it could not estimate the likelihood or amount of potential losses in certain matters.
- Interest-rate exposure: A hypothetical 1% rate change would change annual interest expense on the term loan by approximately $5.8 million, based on year-end principal. The company had not hedged its floating-rate debt and expected LIBOR transition to SOFR.

- How much cash is ultimately collected or conceded on unprocessed wholesaler return claims, and whether revenue reserves remain adequate.
- Debt repayment capacity, interest costs, and the impact of the February 2023 convertible-note issuance and repurchase on liquidity and dilution.
- Developments in Belbuca and Xtampza patent cases, state opioid investigations, and required opioid post-marketing studies.
- Whether supply, quota, customer concentration, reimbursement, and generic-competition risks affect product availability, pricing, or sales.
