The January 2016 follow-on offering generated approximately $51.7 million net proceeds after underwriting discounts and commissions. Management estimated available cash, including the follow-on proceeds, would fund operations into 2018; this is a forward-looking estimate, not a guarantee. No operating profit or margins are reported because the company had no revenue.

At December 31, 2015, contractual obligations totaled $8.4 million, including $7.3 million of term-loan principal and interest and $1.1 million of operating lease commitments. No off-balance-sheet arrangements were reported.

Business developments, outlook and material risks

  • Xtampza ER: The FDA granted tentative approval in November 2015. The filing says the FDA found the application met approval standards, but final approval was then pending. Collegium submitted its request for final approval on February 26, 2016; the FDA set an April 26, 2016 PDUFA goal date. The company targeted a potential U.S. launch in the second quarter of 2016, conditional on final approval.
  • Patent litigation: In February 2016, a Massachusetts court ruled for Collegium on three Purdue Orange Book-listed patents that had triggered the potential 30-month FDA stay. Purdue continued to assert two other patents; neither was associated with that approval stay, and a motion concerning one remained pending. Purdue reserved its right to appeal.
  • Commercial plans: If approved, Collegium planned a direct U.S. sales organization of approximately 120 representatives focused on prescribers, plus approximately 25 specialty representatives for institutions. The company also planned to explore international licensing. Its projected market opportunity—including an external estimate of more than $700 million in peak annual U.S. revenue for chronic-pain patients with swallowing difficulty—is an estimate, not realized revenue.
  • Pipeline: The company initiated a clinical trial in its abuse-deterrent hydrocodone program in Q1 2016. Its oxymorphone candidate had an IND and FDA Fast Track status; methylphenidate and morphine candidates remained earlier-stage.
  • Research and safety: The pivotal Xtampza Phase 3 trial met its primary efficacy endpoint (p<0.0001), and the filing reports no new safety concerns in that study. The FDA’s tentative label included differentiated abuse-deterrence and alternative-administration features, but the final label could change. FDA-required post-marketing studies, opioid REMS obligations and ongoing safety monitoring could add costs and affect commercial prospects.
  • Key risks: The company remained unprofitable and dependent on financing and successful commercialization. Other material risks include FDA approval or labeling changes, remaining patent claims and appeals, uncertain payer coverage and pricing, competition and generic entry, controlled-substance quotas and regulation, and reliance on contract manufacturer Patheon and a primary oxycodone-base supplier.

Management expected continuing losses and higher spending as it pursued approval, commercialization and pipeline development. The filing provides no product-sales guidance. The audited financial statements received an unqualified opinion; management concluded disclosure controls were effective. No auditor attestation on internal control was included under the emerging-growth-company exemption.

Investor verification checklist

  • Confirm the FDA’s final Xtampza decision, approved indication and label, including abuse-deterrence claims and sprinkle or feeding-tube instructions.
  • Check the status and possible appeal of Purdue’s remaining patent claims and any effect on commercialization.
  • Assess launch execution, prescription uptake, net pricing, payer coverage and realized sales against the company’s market assumptions.
  • Track cash burn, commercial and post-marketing costs, debt repayment, and whether the stated funding runway remains achievable.
  • Verify manufacturing capacity, supply continuity, DEA quota availability and any required additional financing or shareholder dilution.
