HUTCHMED (China) Ltd annual report, Q4 FY2023

HUTCHMED (China) Limited — FY2023 Form 20-F

Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone 2023 Q4 filing; the supplied filing text does not provide a clear quarterly breakdown. Financial statements are prepared under U.S. GAAP, except Shanghai Hutchison Pharmaceuticals, the non-consolidated joint venture, which reports under IFRS.

Business context

HUTCHMED is a China-based commercial-stage biopharmaceutical company focused on oncology/immunology drug discovery, development and commercialization, alongside prescription-drug distribution and other businesses. Its marketed internally developed medicines include fruquintinib (Elunate in China; Fruzaqla in the U.S.), savolitinib (Orpathys) and surufatinib (Sulanda). Fruquintinib received U.S. FDA approval in November 2023 and is commercialized there by Takeda. The company divested its interests in Hutchison Hain Organic and HUTCHMED Science Nutrition in December 2023 and says it is focusing resources on core businesses.

Financial results and liquidity

MetricFY2023FY2022
Revenue$838.0 million$426.4 million
Operating income/(loss)$18.4 million$(407.7) million
Net income/(loss) attributable to HUTCHMED$100.8 million$(360.8) million
Net cash from/(used in) operating activities$219.3 million$(268.6) million
Cash and cash equivalents$283.6 million$313.3 million
Short-term investments$602.7 million$317.7 million
Bank borrowings$79.3 million$18.1 million

Revenue rose 96.5%. Oncology/Immunology contributed $528.6 million, versus $163.8 million, including $353.1 million of revenue recognized under the Takeda fruquintinib agreement. Other Ventures revenue was $309.4 million, up from $262.6 million. Gross profit, calculated as revenue less reported cost of revenue, was approximately $453.6 million, or 54.1% of revenue, compared with approximately $115.3 million, or 27.0%, in 2022; the shift reflects, in particular, the high-margin Takeda licensing revenue.

Research and development expense declined 21.9% to $302.0 million, which management attributed mainly to completed major registration-enabling trials and pipeline prioritization. Selling expense increased to $53.4 million, primarily with expansion of the China oncology team. Interest income increased to $36.1 million from $9.6 million, mainly reflecting interest earned on Takeda proceeds. Equity-method earnings, principally from Shanghai Hutchison Pharmaceuticals, were $47.3 million, down from $49.8 million.

At year-end, cash plus short-term investments totaled $886.3 million; current assets were $1.097 billion and current liabilities $403.0 million. The company reported $68.1 million of unused bank facilities and a 10.7% gearing ratio, versus 2.8% in 2022. Management believes available liquidity, operating cash flow, dividends and unused borrowing facilities can fund anticipated needs for at least 12 months, while noting that further financing may be needed for planned clinical development. No dividend has been declared or paid, and none is currently planned.

Material changes and notable items

  • The Takeda agreement provided a $400 million upfront payment and a $35 million milestone payment after U.S. FDA approval of Fruzaqla. HUTCHMED recognized $353.1 million of related revenue in 2023; recognition of the upfront and milestone amounts is subject to allocation among performance obligations and revenue-recognition timing.
  • Elunate in-market sales in China were $107.5 million, up 15%; HUTCHMED recognized $83.2 million of related revenue. Sulanda in-market sales rose 36% to $43.9 million. Orpathys in-market sales rose 12% to $46.1 million; its NRDL inclusion began in March 2023 at a 38% discount to the prior self-pay price.
  • Fruzaqla launched in the U.S. in November; Takeda reported $15.1 million of U.S. in-market sales from launch through year-end. HUTCHMED recognized $7.2 million of related revenue in 2023.
  • The non-consolidated Shanghai Hutchison Pharmaceuticals joint venture reported IFRS revenue of $385.5 million and profit of $95.5 million. HUTCHMED’s equity in its earnings was $47.3 million, and the joint venture paid $42.3 million in dividends to HUTCHMED’s group in 2023.
  • HUTCHMED recorded $3.7 million of property, plant and equipment impairment and $2.1 million of right-of-use asset impairment. It also recorded $36.1 million in interest income. No 2023 gain on divestment was reported; the 2021 comparison included a $121.3 million gain on divestment of an equity investee.
  • The FY2023 statements received an unqualified audit opinion; the auditor also opined that internal control over financial reporting was effective. A critical audit matter concerned management’s allocation of Takeda agreement consideration across performance obligations.

Outlook, risks and contingencies

Management describes a strategic focus on the path to profitability and prioritizing advanced assets with nearer-term potential. The filing gives no numerical revenue or earnings guidance. Development plans include ongoing late-stage studies and expansion of the Shanghai manufacturing facility; commercial supplies from the new facility were expected around 2025, subject to required filings and approvals. Fruquintinib’s U.S., EU and Japan opportunities and the clinical and regulatory progress of the broader pipeline remain important to future results.

Key risks include clinical-trial failure or delay, regulatory uncertainty, commercialization and reimbursement pressure, competition, reliance on partners and limited-source manufacturers, and the possibility of future funding needs. HUTCHMED also highlights PRC regulatory, data-security, foreign-exchange and cross-border cash-transfer risks. PCAOB inspection access had resumed by the filing date, but the company warns that future restrictions could create HFCAA delisting risk if the statutory conditions recur. The company reported no material legal proceedings pending or threatened; a Hong Kong arbitration appeal concerning the Luye/Seroquel dispute remained unresolved, and no award amount had been recognized as received.

Important facts for investors to verify

  • How much of 2023’s profit and operating cash generation is repeatable, versus dependent on Takeda upfront/milestone recognition, interest income and working-capital movements?
  • Reconcile the Takeda cash received, revenue recognized, deferred revenue and remaining milestones and royalties; verify the assumptions behind the license revenue allocation highlighted by the auditor.
  • Track product-level in-market sales, HUTCHMED-recognized revenue, NRDL pricing and reimbursement, and U.S. Fruzaqla uptake separately.
  • Confirm the timing, costs and regulatory requirements for the Shanghai manufacturing facility and monitor supply concentration and backup capacity.
  • Assess the pipeline’s trial outcomes and financing requirements, particularly for programs retained wholly by HUTCHMED, and monitor the potential divestiture of Shanghai Hutchison Pharmaceuticals.
  • Review the unresolved Luye appeal, PRC cross-border cash and regulatory developments, and future PCAOB inspection status.
