Business context and reporting period
Hut 8 Corp. filed this Form 10-Q for the quarter ended September 30, 2023. The financial statements and MD&A principally cover USBTC, the accounting acquirer, for its fiscal first quarter of 2024—not Hut 8’s standalone results or combined-company results. Hut 8 and USBTC completed their merger of equals on November 30, 2023, after quarter-end; the filing’s quarterly financials therefore do not reflect the combined company.
USBTC operated Bitcoin mining, hosting, managed infrastructure and equipment-sales businesses. At quarter-end, it reported approximately 182,000 miners across four locations with access to about 730 MW of electricity, including approximately 30,200 self-mining machines (3.1 EH/s) and 8,500 hosted machines.
Financial results and liquidity
Amounts below are USD millions unless stated otherwise. Comparative period is the three months ended September 30, 2022.
| Metric | Q ended Sep. 30, 2023 | Prior-year quarter | Change / context |
|---|---|---|---|
| Total revenue | $21.7 | $33.5 | Down 35%; mainly reflects lower hosting and no equipment-sales revenue, partly offset by new management-fee and cost-reimbursement revenue. |
| Bitcoin mining revenue | $15.6 | $16.3 | Down about 5%; Bitcoin mined fell to 553 from 766. |
| Operating income (loss) | $(0.7) | $3.8 | Turned to an operating loss. |
| Net loss | $(4.4) | $(0.6) | Loss increased; interest expense rose and prior-year hosting revenue included a $13.1 million deferred-revenue recognition after a customer default. |
| Adjusted EBITDA (non-GAAP) | $11.4 | $12.4 | Lower year over year; not a substitute for GAAP results. |
| Operating cash flow | $2.2 | $(7.4) | Improved; includes working-capital movements and $11.4 million of distributions of joint-venture earnings. |
| Cash | $12.7 | $10.4 at June 30, 2023 | Quarter-end cash increased by $2.4 million. |
| Notes payable | $141.8 carrying amount | $151.2 at June 30, 2023 | USBTC repaid approximately $15.1 million of notes during the quarter; stated rates on listed notes range from 14% to 18%, with the TZRC note at 15.25%. |

| Stockholders’ equity | $23.3 | $27.4 at June 30, 2023 | Accumulated deficit was $110.9 million. |
Gross margin is not clearly provided as a reported metric. Service costs of revenue were $11.8 million; depreciation and amortization was $4.5 million. Interest expense was $5.7 million, including noncash paid-in-kind interest. USBTC said cash on hand, cryptocurrency-sale proceeds and ongoing operations were expected to cover operating and capital requirements for at least 12 months from issuance of the statements.
Material changes, outlook and risks
- Business mix: Management-fee revenue was $3.4 million and cost-reimbursement revenue was $2.3 million, both new versus the prior-year quarter. Hosting revenue fell to $0.4 million from $13.6 million; the prior-year amount included $13.1 million recognized after a customer default. Equipment-sales revenue was nil versus $3.6 million.
- Mining economics: Reported cost to mine one Bitcoin was approximately $19,000, versus $18,700 a year earlier, with increased network difficulty cited as a cause. Bitcoin mined declined despite self-mining fleet growth. The filing identifies Bitcoin price, network difficulty, the expected 2024 block-reward halving, electricity costs, access to power and access to capital as significant sensitivities.
- Joint venture and debt: USBTC’s 50% King Mountain JV investment had a carrying value of $84.3 million; the company recorded $2.1 million of equity-method earnings. The associated secured note has a high interest rate and paid-in-kind interest; principal and accrued interest are due at maturity or earlier under specified events.
- Post-quarter commitments and opportunities: In October, USBTC ordered approximately $40 million of AI equipment and was evaluating financing; it reported no AI customers or AI revenue as of the filing. A revised Celsius-related operating-services bid, with proposed fees of $20.4 million annually net of certain costs over four years, remained subject to bankruptcy-court approval. A December 18 interim agreement concerned development of mining operations at Cedarvale, Texas. The company said its share of the original $10 million Fahrenheit-bid deposit remained in escrow and was expected to be returned.
- Controls and reporting: Management concluded disclosure controls were ineffective at September 30 because of material weaknesses involving revenue transactions, income taxes, equity-method investments and complex transactions. Remediation was expected by December 31, 2023. The prior-year comparative cash-flow statement was restated to classify $15.7 million of cryptocurrency-sale proceeds as investing, rather than operating cash flow; net change in cash was unchanged.
- Legal and other risks: Lancium filed a patent-infringement lawsuit seeking unspecified damages; USBTC disputed the claims. A Niagara Falls city lawsuit was rescinded following a ratified settlement, with related costs recorded. Management stated it did not believe ordinary-course claims would result in a reasonably possible material loss, but outcomes remain uncertain.
Most important facts for investors to verify
- Confirm the accounting scope and post-merger presentation: these results are USBTC pre-combination, not consolidated post-merger Hut 8 results.
- Review debt terms, PIK interest accumulation, repayment requirements and collateral—particularly the King Mountain and Anchorage obligations—and assess refinancing needs.
- Reconcile operating cash generation with Bitcoin sales, joint-venture distributions and working-capital movements; note the prior-period cash-flow restatement.
- Assess the assumptions behind mining profitability, power costs, network difficulty and the halving, and whether fleet utilization supports reported economics.
- Track financing and cancellation terms for the approximately $40 million AI equipment order, and court approval, contract terms and escrow recovery relating to Celsius.
- Check subsequent filings for remediation of the disclosed material weaknesses and developments in the Lancium litigation and other contingencies.
