Ironwood Pharmaceuticals, Inc. — Q2 2012 Form 10-Q
Reporting period: Quarter and six months ended June 30, 2012; filed August 7, 2012. Unaudited results. Amounts below are in U.S. dollars; financial statement figures are shown in millions unless noted.
Business context
Ironwood is a clinical-stage pharmaceutical company with no product-sales revenue. Its lead candidate, linaclotide, was under FDA review for IBS-C and chronic constipation (CC); the FDA extended its review, moving the PDUFA target action date to September 2012. Almirall’s European application for IBS-C remained under EMA review. Ironwood and Forest also began a Phase 3b CC study, and Ironwood’s China Phase 3 trial application was accepted for review.
Financial performance
| Metric | Q2 2012 | Q2 2011 | Six months 2012 | Six months 2011 |
|---|---|---|---|---|
| Collaborative arrangements revenue | $14.6 | $11.3 | $26.9 | $21.5 |
| Research and development expense | $32.2 | $19.4 | $61.7 | $39.0 |
| General and administrative expense | $23.2 | $10.8 | $41.6 | $20.0 |
| Total operating expenses | $55.4 | $30.2 | $103.3 | $59.0 |
| Operating loss | $(40.8) | $(19.0) | $(76.5) | $(37.5) |
| Net loss | $(40.8) | $(18.8) | $(76.4) | $(37.2) |
| Basic and diluted loss per share | $(0.38) | $(0.19) | $(0.73) | $(0.37) |
- Revenue increased 29.7% in Q2 and 24.9% in the first half. Management attributed the increase mainly to Almirall: accelerated recognition of deferred license revenue following a prior-period estimate change, plus higher API shipments ahead of a potential European launch.
- Operating expenses rose 83.5% in Q2 and 75.1% in the first half. R&D increases reflected linaclotide manufacturing and collaboration costs, higher headcount and spending on other pipeline programs. G&A rose as Ironwood and Forest prepared commercial infrastructure and launch activities.
- Calculated operating loss as a percentage of revenue was approximately 280% in Q2 and 285% for the first half; the filing reports no product gross margin because Ironwood had no product sales.
Cash, liquidity and obligations
- At June 30, unrestricted cash, cash equivalents and available-for-sale securities totaled approximately $157.7 million ($87.1 million cash and equivalents; $70.6 million securities). Restricted cash was $7.6 million. Total assets were $208.7 million and stockholders’ equity was $128.8 million.
- First-half operating cash use was $86.2 million; investing cash use was $1.5 million; financing provided $87.4 million, primarily from the February 2012 stock offering. Ending cash and cash equivalents were $87.1 million, down $0.2 million from year-end.
- Ironwood raised approximately $85.2 million net by issuing 6.04 million Class A shares in February 2012. Accumulated deficit was $508.8 million.
- The filing reports capital lease obligations of approximately $0.6 million in total and no material conventional borrowing balance. Deferred revenue was $33.1 million. Management said available resources, together with potential collaboration milestones, were expected to support operations through anticipated linaclotide commercialization, but cautioned that estimates could prove wrong.
- Linaclotide supply agreements carried minimum purchase commitments of approximately $58.9 million through 2017. A non-cancelable manufacturing-equipment order was $2.7 million, with approximately $0.8 million paid by June 30.
Outlook, commentary and material risks
- Ironwood expected substantial losses and R&D spending for the foreseeable future, with further G&A investment to build commercialization capability. It had not provided a numerical revenue or earnings forecast.
- Forest milestone payments of $85 million were expected upon FDA approval. The company also shared U.S. linaclotide development costs and potential future U.S. profits and losses equally with Forest.
- Key uncertainties include FDA approval, indication and labeling scope, commercial uptake, reimbursement and pricing, competition, and the ability to scale manufacturing and meet quality requirements. Linaclotide had no commercial-scale drug-product manufacturing track record; the company depended on partners and contract manufacturers.
- Diarrhea was the most common adverse event in linaclotide Phase 3 trials (reported in 14%–20% of treated patients; discontinuation in 3%–6%). The company reported no serious adverse events or deaths judged definitely or probably related to treatment in its development program.
- Synergy Pharmaceuticals had requested inter partes reexamination of Ironwood U.S. Patent 7,704,947, which covers a group of peptides including linaclotide; the USPTO had not yet decided whether to order reexamination.
- Management said ordinary-course legal matters were not expected to have a material adverse effect; no material indemnification claims or related losses were reported. The company disclosed no off-balance-sheet arrangements and said disclosure controls were effective, with no material internal-control changes during the quarter.
Most important facts for investors to verify
- FDA decision timing and outcome for linaclotide, including approval for both IBS-C and CC and any label restrictions.
- Progress and timing of the EMA review, China trial application, and other partner-led development programs.
- Commercial-scale manufacturing readiness, supply-chain reliability, and spending against the $58.9 million purchase commitments.
- Cash burn and liquidity runway versus management’s commercialization timeline; potential receipt and timing of the $85 million Forest approval milestones.
- Resolution and potential impact of the patent reexamination request, alongside payer access, pricing, competition and launch uptake.
