Gross-margin improvement reflected product-cost reductions and supply-chain efficiencies, partly offset by increased promotions and unfavorable currency movements. Higher marketing and selling and R&D costs reflected increased headcount and product advertising. A $2.0 million credit from remeasurement of Jaybird acquisition consideration partly offset expense growth.
Net income benefited from a $5.4 million income-tax benefit, versus a $3.1 million tax expense in the prior-year quarter. The 2017 tax benefit included $9.9 million of excess tax benefits from share-based compensation accounting changes; the reported earnings increase therefore includes a significant tax-related item.
Sales mix and operating trends
- Sales grew in all regions: Americas +10%, EMEA +5%, and Asia Pacific +17% reported; constant-currency growth was 11%, 11%, and 19%, respectively.
- Notable product-category growth: Tablet & Other Accessories +67%, Video Collaboration +49%, Smart Home +47%, and Gaming +38%. Audio-PC & Wearables declined 11%; Keyboards & Combos declined 2%.
- Management cited new product performance, including gaming products, video-collaboration products, and tablet keyboard cases. It noted declining PC shipments and a declining iPad platform market as relevant headwinds.
Liquidity, cash flow, and capital resources
At June 30, 2017, current assets were $1.071 billion and current liabilities were $517.8 million; working capital was $553.3 million, up from $520.8 million at March 31. Logitech reported no bank borrowings and had $38.9 million of uncommitted, unsecured credit lines, with $23.3 million of bank guarantees outstanding. Total liabilities were $637.1 million; the filing reports no outstanding debt under the credit lines.
Operating cash use reflected higher receivables and inventories and lower accrued liabilities, including annual bonus payments. Inventory was $279.4 million, up from $253.4 million at March 31; management attributed the increase primarily to planned product launches. Inventory turnover was 4.8x versus 5.0x a year earlier. Capital expenditures were $10.0 million. Cash declined by $19.9 million during the quarter to $527.7 million.
Management said cash, projected operations, and available liquidity should be sufficient for at least the next 12 months. It warned that working-capital needs and capital spending could increase to support product innovation, growth, or acquisitions. The new three-year share-repurchase authorization permits up to $250 million; no purchases had been made under that program by June 30. The prior program expired in April.
Outlook, risks, and unusual items
- Outlook: The filing provides no specific quarterly or full-year revenue or earnings guidance. Management highlighted growth opportunities in music, gaming, video collaboration, smart home, and productivity, while noting seasonality, product-launch uncertainty, and currency exposure.
- Acquisition after quarter-end: On July 10, 2017, Logitech agreed to acquire certain Astro Gaming assets and liabilities for $85 million in cash. Closing was expected in early August, subject to regulatory approvals and other conditions.
- Jaybird earn-out: The contingent consideration liability was $7.9 million at June 30. The first earn-out period resulted in an expected payment of approximately $0.5 million; remeasurement produced a $2.0 million operating-expense credit, primarily due to lower-than-expected Jaybird sales. Future estimates could change materially.
- Financial controls: Disclosure controls were deemed ineffective because of a continuing material weakness in controls over estimating EMEA customer-program allowances and accruals. Management began remediation and expected to address the weakness by the end of FY2018; it was not yet considered remediated.
- Tax and legal matters: Unrecognized tax benefits were $65.0 million, all of which would affect the effective tax rate if recognized. The company anticipated approximately $1.4 million of tax settlement in the next 12 months. Logitech reported several ordinary-course claims and a small number of legal proceedings, but did not expect their resolution to have a material adverse effect based on information then available.
- Other risks: Sales and margins may be affected by currency movements, competition and pricing, product demand and launch execution, channel inventory, supply-chain concentration in China and Southeast Asia, and the success of new products. Logitech estimated $3.2 million of cash-flow-hedge losses in accumulated other comprehensive loss would be reclassified into earnings within 12 months.
