  • Q3 revenue fell 7%; nine-month revenue declined 1%. Advanced Wound Care revenue decreased 7% in Q3 and was nearly flat for the nine-month period. Surgical & Sports Medicine revenue declined 2% and 4%, respectively.
  • Q3 operating income improved as SG&A fell 19%, more than offsetting lower revenue and gross profit. The SG&A comparison benefited from reduced travel, marketing and commissions and a $4.2 million equipment disposal charge in Q3 2022; Q3 2023 included $1.6 million of LCD-related legal and sales-retention costs. Nine-month R&D expense rose 15% to $32.6 million.
  • Nine-month income tax expense rose to $6.7 million from $3.5 million. Management attributed the higher forecast tax rate to executive-compensation tax adjustments and expiration of the temporary 100% meal and entertainment deduction.
  • Nine-month operating cash flow was $20.3 million, versus $17.1 million. Capital expenditures were $21.0 million, so operating cash flow less capital expenditures was approximately negative $0.7 million. Cash, cash equivalents and restricted cash declined $4.5 million to $98.8 million.
  • At September 30, cash and cash equivalents were $98.2 million; working capital was $144.1 million. Total assets were $462.6 million and stockholders’ equity was $276.9 million.
  • Term-loan principal outstanding was $68.0 million, with a 7.43% interest rate; the $125.0 million revolving facility was undrawn. The term loan matures in August 2026, including a $50.6 million remaining principal payment at maturity. The company reported covenant compliance.

Material changes, outlook and risks

  • Medicare coverage: Three Medicare Administrative Contractors issued coverage determinations that would have excluded five marketed products for certain diabetic foot and venous leg ulcers. The determinations were withdrawn on September 28, 2023, before taking effect; the products remained covered. The company cautions that future coverage restrictions could harm utilization and revenue.
  • Dermagraft: Manufacturing was suspended in Q4 2021 and sales in Q2 2022. The company plans to resume supply through a new facility or a third-party manufacturer and expects customers may substitute Apligraf; failure to achieve savings or substitution could adversely affect results.
  • Restructuring: On October 27, 2023, after quarter-end, the company committed to a workforce reduction of 49 employees, approximately 5% of headcount, and expects about $1.7 million in Q4 2023 charges, primarily severance.
  • Liquidity outlook: Management expects cash, working capital, borrowing availability and cash flows from product sales to fund operating expenses, capital expenditures and debt service for at least 12 months beyond the filing date. No specific revenue or earnings guidance is provided in the filing.
  • Legal matter: A securities class action alleging misleading statements about revenue, sales growth and competition is pending; a motion to dismiss was awaiting the court’s decision. The company disputes the claims. Accrued litigation was $0.6 million at quarter-end.
  • Controls: Management concluded disclosure controls and internal control over financial reporting were ineffective due to an ongoing material weakness involving significant non-routine transactions, IT general controls and segregation of duties. ERP and sales-system implementations were expected to go live in 2024; remediation was not yet complete.
  • Other risks include pricing and product mix, customer buying patterns, reimbursement changes, competition, economic and banking-system uncertainty, and the possibility of needing additional financing. The company said it had no material off-balance-sheet arrangements.

Investor verification points

  • Track Advanced Wound Care sales, pricing and mix, and whether revenue stabilizes after the Q3 decline.
  • Verify continued Medicare coverage and any new local coverage determinations affecting marketed products.
  • Monitor Dermagraft manufacturing plans, customer substitution and associated costs.
  • Assess cash generation against capital spending, term-loan amortization and the 2026 maturity payment.
  • Follow remediation testing and completion of the material-weakness controls, as well as the pending securities litigation and Q4 restructuring costs.
