The nine-month effective tax rate was 386.4%, principally reflecting tax benefits not recognized on losses in jurisdictions with valuation allowances.

Management’s non-GAAP operating cash flow measure, which includes non-manufacturer floorplan activity, was positive $0.7 million versus a use of $12.0 million. Investing activities provided $2.5 million and financing activities provided $116.6 million. Cash rose to $110.2 million from $74.2 million at January 31, 2014. Changes, management commentary, and risks
- Agriculture remained the key pressure: third-quarter segment revenue fell 24.6% and nine-month revenue fell 14.6%, amid lower crop commodity prices and projected farm income, weaker equipment demand, and used-equipment oversupply.
- Construction improved: third-quarter same-store sales increased 10.7%, and the segment moved to slight pretax income from a prior-year loss. Nine-month revenue increased 12.0%, though the segment remained loss-making.
- International revenue grew, but the segment’s nine-month pretax loss widened to $11.9 million from $1.4 million. Management cited expansion costs, Ukraine-related economic and political instability, hryvnia devaluation, and higher interest costs.
- The company recognized $3.4 million of store-closing and realignment costs during the nine months, including closing seven underperforming Construction stores and one Agriculture store. It separately reported $4.9 million of Ukraine hryvnia remeasurement losses for the nine months ($0.5 million in the quarter). Management’s non-GAAP diluted EPS was $0.14 for the quarter and $0.11 for the nine months, excluding specified closing and currency items.
- Credit facility amendments effective October 31 revised borrowing terms and financial covenants, including a minimum pretax-income covenant under the Wells Fargo facility and a minimum fixed-charge coverage covenant under the CNH Industrial Capital facility.
- Management stated that cash, operating cash flow, and available credit were expected to meet liquidity needs for at least 12 months, subject to operating performance and covenant compliance. The filing gives no quantified earnings or revenue guidance. Results are subject to weather and seasonal variability.
- Interest-rate sensitivity: a one-percentage-point change in rates was estimated to change next-12-month pretax earnings and cash flow by approximately $4.7 million. Material risks also include agricultural and construction market conditions, foreign exchange movements, and credit availability.
Important facts for investors to verify
- Whether agricultural equipment demand and used-inventory conditions continued to weaken, and how that affected equipment margins and inventory levels.
- Whether the company maintained compliance with amended lender covenants and preserved access to floorplan and working-capital facilities.
- Whether Ukraine-related currency losses, elevated borrowing costs, and International segment losses persisted or changed.
- Whether reported operating cash flow and liquidity remained adequate after considering the substantial inventory and floorplan financing requirements.
- How the store closures, cost reductions, and lower Construction rental-fleet utilization affected subsequent profitability.
