The company reported compliance with its debt covenants and a credit-agreement leverage ratio of 0.12.

Material changes and notable items

  • Q3 gross margin improved 350 basis points year over year, supported by service fixed-cost leverage and technician productivity, plus rental revenue and product mix in Distribution. Operating expenses rose 25.7% to $16.6 million; as a share of revenue they increased to 25.5% from 23.1%.
  • Q3 net income more than doubled, reflecting higher operating income and lower interest expense after repayment of the revolving facility. Nine-month net income declined 3.9% despite 11.9% revenue growth, as operating income was nearly flat and the tax provision increased.
  • The September 2023 public offering raised $80.5 million gross (847,371 shares at $95 per share); net proceeds were used in part to repay the revolver. Share count increased, and average diluted shares for Q3 rose to 8.752 million from 7.666 million.
  • Acquisitions included Axiom (rental equipment distribution), SteriQual (consulting), and TIC-MS (calibration services). Acquisition-related goodwill and intangible assets increased materially. Axiom contributed $4.3 million of revenue and $0.4 million of operating income through the quarter; SteriQual contributed $1.9 million of revenue and less than $0.1 million of operating income.
  • The amended NEXA earn-out was valued at approximately $2.9 million at quarter-end. The company recorded a $0.1 million Q3 non-cash expense; a $2.8 million expense was recorded in the prior quarter. Earn-out valuation depends on forecast results and other significant unobservable assumptions.

Outlook, risks and contingencies

Management expects FY2024 organic Service revenue growth in the high-single-digit to low-double-digit range and gross-margin expansion. It cites calibration automation, process improvement, organic growth and acquisitions as growth drivers. The company expects a full-year tax rate of 24%–26%. No specific Distribution growth or earnings guidance is provided.

Key disclosed risks include acquisition integration and valuation, demand and customer concentration in regulated end markets, technician recruitment and retention, utilization and pricing, competition, supply-chain disruption, technology and cybersecurity risks, goodwill or intangible-asset impairment, foreign exchange, interest rates, and economic and geopolitical conditions. The company was exposed to floating-rate borrowing costs if it draws on its revolver; no interest-rate hedge was in place. It used short-term foreign-exchange contracts to manage some Canadian-dollar exposure. Management reported effective disclosure controls and no material quarterly change in internal control over financial reporting.

Important facts for investors to verify

  • Whether organic Service growth and margin-expansion expectations are being achieved, separately from acquisition-driven growth.
  • How much of Distribution performance depends on Axiom rentals, and whether slower non-rental demand persists.
  • Whether rising operating expenses, acquisition amortization and stock-based compensation constrain operating-margin and GAAP earnings growth.
  • Final purchase-price allocations, acquisition integration results, contingent consideration and the NEXA earn-out’s future remeasurement effects.
  • Cash conversion, capital expenditure and acquisition funding needs, alongside future use of the revolver and covenant headroom.
  • The effects of the public offering’s share dilution and whether per-share performance improves as earnings grow.
