Service gross margin rose 160 basis points to 31.9%; Distribution gross margin rose 210 basis points to 23.5%. Operating expenses increased 26.4% to $44.3 million, partly reflecting acquired businesses, technology and employee investments, higher sales incentives, amortization and $0.9 million of acquisition transaction costs. Net income benefited from higher operating income and a lower effective tax rate: 13.7%, versus 21.9% in fiscal 2021. The fiscal 2022 rate included $1.4 million of discrete share-based compensation tax benefits.
Cash and cash equivalents were $1.4 million at year-end. Current assets were $59.7 million and current liabilities were $27.7 million. The company used $29.8 million for acquisitions and $10.2 million for capital expenditures; investing cash outflow was $39.9 million. Operating cash flow declined primarily due to working-capital changes, including receivables and prepaid assets. Distribution pending shipments were $7.7 million, including $6.4 million in backorders, amid supply delays and increased demand.
Debt totaled approximately $48.5 million: $39.9 million drawn under an $80 million revolving credit commitment and $8.5 million outstanding on the term loan. The revolver matures in June 2026; the term loan requires monthly payments through December 2025. The company reported a 1.74 leverage ratio and compliance with loan covenants. The filing reports the $80 million facility commitment; it does not clearly state unused borrowing availability in the cited passage.
Changes versus the prior year
- Total revenue increased 18.2%; Service organic revenue increased 11.6%, with $9.0 million of incremental acquired revenue. Service recorded its 52nd consecutive quarter of year-over-year growth.
- Distribution growth was organic and followed a 10.0% decline in fiscal 2021, when the pandemic reduced demand. Fiscal 2022 margins benefited from product mix, higher-margin rentals, and stronger vendor rebates and cooperative advertising.
- Gross margin improved in both segments, while operating expenses grew faster than revenue. Adjusted EBITDA increased 27.9%.
- Operating cash flow fell by $6.0 million, while debt and acquisition spending increased following three fiscal 2022 acquisitions.
Outlook, risks and unusual items
Management expects high-single-digit organic Service revenue growth in fiscal 2023 and sees continued opportunity for profitable growth and Service margin expansion through volume, automation, process improvements and acquisitions. It provided no consolidated revenue or earnings forecast. Management expects a fiscal 2023 effective tax rate of 22%–24%, higher than fiscal 2022’s 13.7%.
Key risks include inflation and labor costs; supply-chain disruption and product availability; competition, especially online distribution; customer concentration in regulated and industrial markets; technician recruitment and retention; acquisition integration and valuation; cybersecurity and reliance on aging enterprise systems; interest-rate exposure; and debt covenant compliance. COVID-19 did not materially adversely affect reported fiscal 2022 results, but Q4 absenteeism increased employee costs and supply delays raised backlog. No pending or threatened legal proceeding was identified as likely to have a material adverse effect.
Acquisition-related items include potential NEXA earn-outs of up to $7.5 million over four years, subject to revenue and EBITDA targets; $0.2 million was recorded as estimated contingent consideration at year-end. On May 31, 2022, after year-end, Transcat acquired Alliance Calibration for approximately $4.5 million in cash plus $157,500 in stock, with a $500,000 holdback and a potential $500,000 purchase-price reduction tied to retention of a key customer. The auditor issued unqualified opinions on the financial statements and internal control over financial reporting; management also concluded controls were effective.
