Cash flow, balance sheet and liquidity

  • Six-month operating cash flow was $168.0 million, versus $88.8 million a year earlier. Management attributed the increase to improved operating results and working-capital movements.
  • Investing cash outflow was $30.8 million, including $21.4 million for acquisitions and $9.9 million in capital expenditures. Financing cash outflow was $69.2 million, including $27.2 million in dividends, $10.7 million in share repurchases and $25.1 million in debt repayments.
  • Cash increased by $68.8 million to $412.9 million. At December 31, total debt was $597.1 million, down from $622.2 million at June 30. The company reported $516.2 million of unused revolving-credit availability.
  • Working capital was $1.233 billion and the current ratio was 3.7, compared with $1.107 billion and 3.0 at June 30. Net indebtedness was 0.4 times defined EBITDA; the company reported compliance with all financial covenants.
  • Debt includes $383.6 million under the revolving facility and $188.3 million under the receivables facility. The revolver rate was 6.26%; a swap converts $384 million of variable-rate debt to a 2.48% rate. The $25 million Series E notes mature in October 2024.

Outlook, commentary and risks

  • Management expects the full-year FY2024 tax rate to be 23%–24%; the first-half effective rate was 21.1%, partly due to reversal of a Mexico tax valuation allowance and compensation-related deductions. The filing gives no specific full-year sales or earnings guidance.
  • Management cited ongoing secular and internal-sales-initiative support, but noted technology-sector weakness. U.S. industrial production and capacity-utilization indices declined from September to December; December PMI was 47.4.
  • Management said existing cash, operating cash flow and borrowing availability should fund working capital, dividends, acquisitions, capital spending, debt service and share repurchases. The receivables facility’s availability may be constrained by customer credit ratings, concentration or receivable characteristics.
  • Potential impairment of Automation reporting-unit goodwill or customer-relationship intangibles is a stated risk if customer mix or relationships change and expected cash flows decline. Goodwill fair values exceeded carrying values by at least 20% at the January 2023 annual assessment.
  • Other disclosed risks include customer demand and economic conditions, inflation and costs, supply availability, receivable collectability, acquisition execution, foreign exchange, cybersecurity and information systems, and legal or regulatory matters. The company did not expect pending legal proceedings to have a material adverse effect based on information then known.
  • Q2 net income also reflected a lower tax rate and $2.9 million of other income, including deferred-compensation trust investment gains and favorable currency gains. These items, along with reduced interest expense and lower LIFO expense, are relevant when assessing earnings comparability.

Important facts for investors to verify

  • Whether organic sales trends improve, particularly in Engineered Solutions and technology-exposed markets, and how acquisition contributions affect reported growth.
  • How sustainable gross-margin improvement is after the favorable LIFO effect, and whether SD&A growth remains controlled.
  • Whether cash generation and working-capital trends continue; operating cash flow benefited from working-capital changes compared with the prior-year period.
  • Debt refinancing or repayment plans around the October 2024 Series E maturity, variable-rate exposure, and continued covenant compliance.
  • Progress toward the 23%–24% full-year tax-rate outlook and the extent to which unusual tax and other-income items affect earnings comparisons.
  • Automation unit performance, acquisition integration, and indicators of potential goodwill or intangible-asset impairment.
