Fourth-quarter results and material changes

FY2015 fourth-quarter sales were $677.5 million versus $654.6 million in FY2014 Q4; net income was $28.0 million versus $29.7 million, and diluted EPS was $0.70 versus $0.71. The quarter included $1.8 million of severance expense and a $1.5 million gain on sale of a building. Foreign-jurisdiction tax valuation allowances and tax-rate increases added $2.2 million to quarterly tax expense.

Growth was substantially acquisition-led: the company acquired Knox Oil Field Supply, Rodamientos y Derivados del Norte, Great Southern Bearings/Northam Bearings, and Ira Pump and Supply during FY2015. Goodwill increased to $254.4 million from $193.5 million, and identifiable intangible assets increased to $198.8 million from $159.5 million. Debt rose primarily to finance acquisitions. A $58.2 million foreign-currency translation loss was recorded in other comprehensive income, contributing to the decline in shareholders’ equity to $741.3 million from $800.3 million.

Liquidity, outlook, and risks

Management said available cash, operating cash flow, and committed and uncommitted borrowing capacity should fund normal working capital, dividends, acquisitions, and capital needs. At year-end, $94.2 million remained available under the revolving facility, and $50.0 million was available under the shelf facility. The company was in compliance with debt covenants; net indebtedness was less than twice EBITDA against a covenant limit of three times EBITDA.

FY2016 capital expenditures were forecast at $13–$15 million and depreciation at $16–$17 million. Management expected an effective tax rate of 34.0%–34.5% and inventory turnover slightly above FY2015 levels. No specific revenue or earnings guidance was provided. On August 3, 2015, the company acquired Atlantic Fasteners for approximately $12.5 million, funded with revolving-credit borrowings.

Key risks include industrial and customer-demand cyclicality, pressure on prices and margins, supplier availability and authorizations, currency movements, and acquisition integration and financing. Recent acquisitions have meaningful exposure to oil and gas; management cautioned that prolonged low energy prices could impair goodwill or acquired intangibles. Continued SAP/ERP implementation also carries operational and financial-control risks. The company reported pending legal matters but considered a material adverse outcome remote.

Important facts for investors to verify

  • How much future growth and earnings depend on acquisitions versus underlying organic demand, particularly given the energy-market downturn.
  • Whether acquisition integration produces expected returns while debt remains elevated; review maturities, variable-rate exposure, and covenant headroom.
  • Whether gross-margin stability can be sustained alongside higher amortization, operating costs, and customer price pressure.
  • Potential impairment sensitivity for goodwill and acquired intangibles, especially in Canada, Australia/New Zealand, and oil-and-gas-related businesses.
  • Progress and control implications of SAP deployment, including the planned consolidation-system conversion and the exclusion of Knox from the FY2015 controls assessment.
  • Foreign-currency impacts, the tax consequences of any repatriation of the $139.0 million in permanently reinvested foreign earnings, and the sustainability of dividends and repurchases.
