Material changes versus FY 2022
- Revenue increased 306%, mainly from higher ChargePost sales. Charging revenue rose to €89.3m from €19.5m; commercial and industrial revenue increased to €15.8m from €4.5m. Germany generated €77.4m, or about 72% of revenue.
- Gross loss narrowed by €1.6m as higher sales and scale effects offset increased costs, but gross margin remained negative.
- Operating loss widened by €8.1m. Net loss increased by €36.2m, including a swing in net finance result from €20.1m income to €13.7m expense. The 2023 result included €10.9m of warrant fair-value losses and €2.8m of shareholder-loan interest expense; 2022 included warrant and foreign-exchange gains.
- Operating cash outflow improved by €37.1m, primarily due to lower inventory-related cash outflow. Inventory on the balance sheet fell to €39.1m from €53.1m, while the filing reports €8.1m of inventory write-down expense in 2023.
- Capital spending and development investment continued: €9.9m net investing cash outflow and €5.4m of capitalized development costs in 2023.
Outlook, risks and unusual items
- Management outlook: The company expects FY 2024 revenue to exceed FY 2023 and expects significant improvement in cash generation and operating results. It cites an €80m order backlog at year-end and a €100m EU sales pipeline; the pipeline is expected order intake, not confirmed revenue. No quantified revenue or profitability guidance is provided.
- Going concern: Management and the auditor identify substantial doubt because of recurring losses and negative operating cash flows. Management says cash on hand, customer receipts, 2023 financing and other plans are expected to meet needs for at least 12 months from the April 30, 2024 financial-statement issuance date, but acknowledges financing and forecast outcomes are uncertain. The auditor’s opinion is unqualified and includes a going-concern uncertainty section.
- Significant provisions and estimates: The company recorded an €11.0m provision for an onerous purchase contract in 2023. The year-end total provision for onerous contracts was also €11.0m. Inventory write-down expense was €8.1m. A separate product semiconductor defect required inspection, repair or replacement activity; the filing describes an approximately €5.1m related provision at year-end, while total warranty provisions were €9.1m.
- Financing and dilution: The company raised shareholder loans and issued warrants in 2023, and completed a December private placement of shares and warrants for about $10m gross proceeds. Warrant liabilities rose to €21.6m, with €10.9m of 2023 fair-value expense; further warrant exercise or equity financing could dilute shareholders.
- Customer and operating risks: One customer represented 36% of 2023 revenue, another 14%, and six customers together represented 80%. The filing also cites 2023 supply constraints, reliance on limited suppliers, competition, product defects, EV/storage-market adoption, incentives, and geopolitical and macroeconomic uncertainty.
- Controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at December 31, 2023 due to multiple material weaknesses, including insufficient documentation, review, segregation of duties, IT controls and technical accounting resources. Identified financial-statement misstatements were corrected; remediation remains in progress and effectiveness is not assured.
Most important facts for investors to verify
- Whether 2024 sales and cash-flow improvement materialize, and how much of the €80m backlog converts to delivered, collected revenue.
- Available liquidity after scheduled loan repayments, restricted cash, purchase commitments and ongoing operating cash burn; whether additional financing is needed.
- The ultimate cost and timing of the semiconductor-related warranty work, onerous contract provision and inventory realization/write-downs.
- Progress in remediating material weaknesses and whether future filings report effective controls.
- Customer concentration, warrant fair-value volatility and potential dilution from outstanding warrants or future capital raises.
