Financial position and cash flows

  • At March 31, 2024, cash and cash equivalents were $44.6 million and marketable securities were $36.4 million; current assets were $141.8 million and current liabilities were $79.9 million.
  • Total liabilities were $140.7 million and stockholders’ equity was $141.6 million. The company reported no long-term debt.
  • Investing activities used $6.8 million net, including $19.7 million of property and equipment purchases, partly offset by net marketable-security maturities. Financing activities provided $0.3 million from stock-option exercises.
  • Deferred revenue was $71.7 million. Remaining performance obligations totaled $254.1 million, including $186.6 million of subscription revenue; these amounts are expected to be recognized over future periods and are not equivalent to cash collected in the quarter.

Period changes and management commentary

  • The subscription-led mix reflects the transition away from direct hardware sales. Product revenue fell sharply, while subscription revenue grew with more active leased units. Evolv says it does not plan to offer its prior purchase-subscription model in future periods except in limited circumstances.
  • Management reported 53 new customers in Q1 2024, compared with 61 in Q1 2023. The average sales cycle lengthened to five months from three months; management said FTC and SEC investigations were the primary reason, while win rate increased year over year.
  • Operating expenses increased, including higher sales and marketing costs and general and administrative costs. Management expects R&D and sales and marketing expenses to increase in 2024 versus 2023, and G&A to remain relatively consistent. No numerical revenue or earnings guidance is provided.
  • Management expects cash, cash equivalents and marketable securities, together with anticipated operating cash generation, to fund operating and capital needs for at least 12 months from the filing date. It also notes that additional capital may be needed depending on growth, equipment investment and other needs.

Risks, contingencies and unusual items

  • Q1 net loss includes $9.6 million of aggregate gains from remeasurement of contingent earn-out, contingently issuable stock and public warrant liabilities. These noncash, market-sensitive gains materially reduced reported net loss; operating loss changed little year over year.
  • The FTC has requested information about marketing practices. The SEC issued a subpoena in February 2024 seeking documents and information. Evolv says it is cooperating; outcomes and potential financial effects are uncertain and could include monetary or injunctive relief.
  • A shareholder putative class action filed in March 2024 alleges securities-law violations related to statements about the company’s products. The company has not accrued a loss and says it cannot estimate a loss or range; material adverse outcomes are described as reasonably possible.
  • Disclosure controls were deemed ineffective at March 31, 2024 because of material weaknesses in internal controls over financial reporting, including staffing and segregation of duties, period-end reporting, complex transactions and IT general controls. Remediation is ongoing and the weaknesses were not yet considered remediated.
  • Other risks include ongoing operating losses, increased operating cash use, product and supply-chain execution, reliance on third-party manufacturing and resellers, and evolving privacy, cybersecurity and AI regulation.

Important facts for investors to verify

  • Whether subscription growth and future recurring revenue can offset the sharp reduction in product sales while sustaining or improving gross margins.
  • How much of the reported net-loss improvement is attributable to recurring operating performance versus noncash fair-value gains, and whether operating cash burn continues.
  • Progress and costs of next-generation product transition, including inventory reserves and purchase commitments.
  • Updates on FTC and SEC inquiries and the shareholder lawsuit, including any enforcement action, settlement, required business changes or estimated exposure.
  • Whether internal-control remediation is completed and operates effectively, and whether liquidity remains adequate as leased-equipment investment and growth spending continue.
  • Potential dilution: 155.4 million shares were outstanding at March 31, 2024; the filing also lists substantial options, restricted stock units, warrants and contingent shares excluded from diluted loss per share as anti-dilutive or contingent.
