Gross margin improved by 3.2 percentage points. Management attributed the increase mainly to product cost reductions, the OEM exit, improved supply-chain efficiencies and a $14.4 million EMEA customer-program estimate adjustment, partly offset by promotions, unfavorable currency effects and acquisition-related amortization and inventory accounting. Operating expenses were $608.2 million, or 27.4% of sales, versus $552.0 million, also 27.4% of sales. The effective tax rate was 4.2%, compared with 2.4%.
Fiscal 2017 cash use included $99.0 million for investing activities, primarily $67.0 million net for acquisitions and $31.8 million for capital expenditures, and $146.1 million for financing activities, including $93.1 million in dividends and $83.8 million in share repurchases. No bank borrowings were outstanding at March 31, 2017; uncommitted, unsecured credit lines totaled $43.5 million, with $20.7 million of bank guarantees outstanding.
At fiscal year-end, total assets were $1,498.7 million and shareholders’ equity was $856.1 million. The filing reports no outstanding line-of-credit borrowings; the balance-sheet data provided does not identify funded debt.
Material changes and quarterly results
- Full-year net sales rose 10%; retail sales increased 14%, while OEM sales fell to zero after the exit. Jaybird and Saitek contributed $65.7 million of fiscal 2017 net sales.
- Growth was broad in key categories: Video Collaboration sales increased 42%, Mobile Speakers 31%, Gaming 28%, and Audio-PC & Wearables 26%. Tablet & Other Accessories declined 26%, reflecting the weakening iPad market.
- Fiscal Q4 net sales were $510.6 million versus $430.8 million in Q4 FY2016; operating income was $36.3 million versus $10.4 million, and net income was $39.4 million versus $28.7 million.
- The filed FY2017 and Q4 results include a $14.4 million increase in net sales from revised estimates of unclaimed or unearned EMEA customer-program allowances (“breakage”). This adjustment revised the preliminary results furnished April 26, 2017.
- Jaybird was acquired for $54.2 million, with up to $45 million of additional earn-out consideration tied to revenue targets. Saitek was acquired for approximately $13 million. The Jaybird earn-out fair value declined by $8.1 million, reflecting lower-than-expected sales projections; this reduced reported operating expenses.
Outlook, risks and unusual items
- The filing provides no specific fiscal 2018 revenue or earnings guidance. Management described continued investment in product innovation and growth markets and stated that cash, operating cash generation and available credit were expected to fund operations for at least 12 months.
- Management cautioned that fiscal 2018 first-quarter operating cash flow could be negative because employee performance bonuses shifted from semiannual to annual payment, with the FY2017 bonus expected to be paid in that quarter.
- In March 2017, the Board authorized a new three-year share repurchase program of up to $250 million. The Board also recommended approximately CHF 100 million in cash dividends for FY2017, subject to shareholder approval.
- Material control weakness: Management concluded internal control over financial reporting and disclosure controls were ineffective as of March 31, 2017. The weakness concerned controls over estimating EMEA customer-program accruals and breakage. KPMG issued an adverse opinion on internal control, while issuing an unqualified opinion on the financial statements. Management began remediation and expected to complete it by the end of FY2018; remediation was not yet established as complete.
- Key risks include intense competition and pricing pressure, declining PC and tablet-related demand, execution in newer growth categories, foreign-exchange exposure, reliance on Asian manufacturing and limited-source components, and customer-program estimate uncertainty. Approximately 50% of FY2017 sales were denominated in non-U.S. currencies.
- Unrecognized tax benefits were $63.7 million at year-end; tax examinations or unfavorable resolutions could affect results. Pending ordinary-course legal matters were not expected by management to have a material adverse effect, but outcomes remain uncertain.
Investor facts to verify
- Whether Logitech’s EMEA customer-program accrual and breakage controls are remediated and operate effectively, and whether subsequent filings report any restatement or further adjustment.
- How much of reported growth and margin improvement is sustainable after separating the $14.4 million estimate change, acquisitions, OEM exit, currency movements and cost reductions.
- Jaybird’s subsequent sales performance, supply constraints and the likelihood and amount of earn-out payments, which could reach $45 million.
- Cash conversion and working-capital trends, particularly receivables and inventory growth, and the impact of the annual bonus payment in FY2018 Q1.
- Developments in tax examinations and the potential payment timing or resolution of uncertain tax positions.
