  • Six-month revenue grew 15.5%. Foreign exchange reduced revenue by about $24.3 million, while acquisitions added $23.7 million; organic revenue increased $184.4 million.

  • Q2 gross margin declined 0.8 percentage points, reflecting unfavorable product mix, currency effects, inflation and acquisition costs, partly offset by pricing and volume leverage. Six-month gross margin was broadly stable. Q2 operating margin was unchanged year over year; six-month operating margin improved.
  • Interest and other expense, net was $8.7 million in Q2 and $24.8 million for the six months, including strategic-investment impairment charges of $11.4 million and $18.3 million, respectively. Six-month results also included a $6.8 million realized gain on a strategic investment sale and a $2.7 million currency translation loss related to the substantial liquidation of Russian operations.

Cash flow, debt and liquidity

  • Six-month operating cash flow was $100.5 million, versus $33.4 million in 2022. Capital expenditures were $48.5 million, resulting in company-defined free cash flow of $52.0 million, compared with negative $3.5 million. Inventory growth was a significant use of cash.
  • Cash and cash equivalents were $574.8 million at June 30, 2023, down from $645.5 million at year-end 2022. Cash, cash equivalents and restricted cash totaled $578.2 million. Investing activities used $134.2 million, mainly for acquisitions and capital expenditures.
  • Total debt, including finance leases, was $1,243.4 million, compared with $1,219.2 million at year-end. The current portion was $120.9 million. The company had no borrowings under its revolving credit facility and reported $599.6 million available under that facility; it was in compliance with debt covenants.
  • Management said existing cash and credit facilities should be sufficient for operating and investing needs for at least the next 12 months. It cautioned that future cash needs may vary with acquisitions, repurchases and dividends.

Material changes, outlook and risks

  • Operating performance improved, with higher revenue, operating income and EPS. Q2 gross margin weakened, and non-GAAP operating margin fell to 15.3% from 16.6%; management cited mix, currency, inflation and increased planned sales, marketing and R&D investment.
  • No specific numerical revenue or earnings guidance is provided in the filing. Management described demand as strong and continued investment in production capacity, sales and marketing, R&D and its multi-year IT transformation.
  • Key risks include supply constraints and longer component lead times, inflation and higher energy and transportation costs, potential European energy shortages, geopolitical and trade tensions, customer spending delays, foreign-exchange and interest-rate changes, and commodity-price volatility. The company also noted exposure to uninsured cash balances at certain financial institutions.
  • Bruker acquired Biognosys and a 60% interest in the Zontal companies during the period, among other businesses. Zontal consideration may include up to $14.4 million of additional payments tied to performance targets. On July 26, 2023, after quarter-end, Bruker acquired a 3.28% interest in Tome Biosciences for $10.0 million.
  • The company reported no material accruals for potential contingencies and said ordinary-course proceedings were not expected to materially affect its financial statements. A related European patent application involving Luxendo and Zeiss remained pending; Bruker said the outcome and any subsequent action were uncertain.

Important facts for investors to verify

  • Whether order demand and revenue growth persist, particularly in CALID, NANO and BEST, and how BioSpin performs.
  • Whether inventory levels and supply constraints improve, and whether operating cash flow converts more of reported earnings into cash.
  • Whether gross and operating margins recover as pricing, product mix, inflation and planned investment evolve.
  • How acquisitions perform, including integration, contingent payments and the valuation of acquisition-related noncontrolling-interest obligations.
  • Debt maturities and refinancing needs, foreign-exchange exposure, and the impact of strategic-investment impairments and other unusual items.
  • Whether the new $500 million share-repurchase authorization is used and how capital returns balance against acquisitions and investment needs.
