Bruker Corporation — FY2019 Form 10-K
Reporting period: Fiscal year ended December 31, 2019. The filing was signed March 27, 2020. Bruker develops and sells scientific instruments, analytical and diagnostic solutions, and superconducting materials through BSI Life Science, BSI NANO, and BEST.
Financial performance and liquidity
- Revenue: $2,072.6 million, up 9.3% from $1,895.6 million in 2018. Acquisitions contributed approximately $118.4 million; foreign currency translation reduced revenue by approximately $50.3 million. Organic revenue, a non-GAAP measure, increased 5.7%.
- Profit and margins: Gross profit was $995.3 million, with a 48.0% GAAP gross margin (47.5% in 2018). Operating income was $300.9 million, with a 14.5% operating margin (13.8%). Net income attributable to Bruker was $197.2 million, or $1.26 diluted EPS, versus $179.7 million and $1.14 in 2018. The effective tax rate rose to 29.4% from 26.0%.
- Cash flow: Operating cash flow was $213.4 million, compared with $239.7 million in 2018. Free cash flow, a non-GAAP measure, was $140.4 million, down from $190.5 million, mainly reflecting higher capital expenditures and inventory purchases. Capital expenditures were $73.0 million.
- Liquidity: Cash and cash equivalents were $678.3 million and short-term investments were $6.6 million at year-end, totaling $684.9 million. Working capital was $1,150.7 million. Management said existing cash and credit facilities were expected to support operating and investing needs for at least 12 months, while noting future needs could vary.
- Debt: Total debt increased to $813.3 million from $341.1 million. Bruker entered a $600 million revolving facility, a $300 million term loan, and issued CHF 297 million of 1.01% senior notes due 2029. No borrowings were outstanding under the new revolver at year-end; $599.8 million was available under it. The company reported compliance with debt covenants.
- Capital returns: Bruker repurchased 3.3 million shares for $142.3 million in 2019 and paid $25.0 million in dividends. The annual dividend target was $0.16 per share, subject to Board approval.
Material changes and segment results
- BSI Life Science: Revenue increased 9.3% to $1,244.9 million; operating income rose to $290.3 million from $244.0 million. Growth reflected demand for mass spectrometry and microbiology products, aftermarket revenue, and three GHz-class NMR systems recognized in 2019.
- BSI NANO: Revenue increased 11.4% to $632.7 million, but operating income declined to $40.4 million from $48.4 million. Acquisitions and demand for X-ray and nano-analysis products were partly offset by weaker semiconductor metrology demand, industrial-market softness, and acquisition costs.
- BEST: Revenue increased 7.8% to $209.9 million and operating income rose to $16.4 million from $14.5 million, primarily reflecting superconductors shipped for healthcare applications.
- Backlog was approximately $1,855.3 million, up from $1,054.4 million, primarily due to new long-term BEST contracts. Bruker expected to fill approximately 54.2% during 2020; backlog is not necessarily a reliable indicator of longer-term revenue.
- Fourth-quarter 2019 revenue was $599.9 million, operating income $117.7 million, net income attributable to Bruker $68.6 million, and diluted EPS $0.44. The filing notes that fourth-quarter revenue has historically been stronger, partly due to customer budgeting cycles.
Outlook, risks, contingencies, and unusual items
- COVID-19: The filing warned that the pandemic could adversely affect 2020 results through customer and supplier closures, travel restrictions, production disruptions, delayed installations and shipments, and reduced customer spending. Management said it could not accurately predict the impact. The filing provides no clear 2020 revenue or earnings guidance.
- Other 2020 expectations: Bruker expected approximately $100 million of capital expenditures and $10–$15 million of restructuring and outsourcing-related expenses. Management anticipated that currency and interest-rate swaps would reduce net interest expense by approximately $8.8 million in each of 2020 and 2021 and $4.8 million in 2022.
- Internal controls: Management and the auditor identified material weaknesses in internal control over financial reporting involving the control environment and staffing, income-tax accounting, and revenue recognition at a U.S. subsidiary. The related 2019 errors were described as immaterial, but the weaknesses could permit a material misstatement. The auditor concluded the financial statements were fairly presented, but Bruker did not maintain effective internal control over financial reporting.
- Legal and regulatory matters: Bruker is defending patent claims in Germany involving a Luxendo product category and the timsTOF product line. A separate Korean tender-bidding investigation was ongoing, with a hearing scheduled for April 2020; an earlier Korean matter resulted in an approximately $20,000 fine and a three-month government-bidding suspension ending March 27, 2020. The company said pending proceedings were not expected to have a material impact, but outcomes remain uncertain.
- Other exposures: Key risks include international and currency exposure, reliance on limited or single-source suppliers, customer capital-spending and government-funding cycles, competition and technology changes, debt and covenant obligations, and potential impairment of goodwill or intangible assets. Foreign-currency effects reduced 2019 revenue by approximately $50.3 million.
- Unusual items: Other charges, net were $6.5 million in 2019 versus $19.5 million in 2018; 2019 included acquisition and IT-transformation costs and a $7.7 million gain on a building sale. The Audit Committee’s investigation into an allegation concerning 2019 tax matters concluded in March 2020 and reported no material misstatements, misconduct, or Code of Conduct violations.
Investor verification priorities
- Monitor remediation of the disclosed material weaknesses, especially tax accounting and subsidiary revenue controls.
- Assess the realized effects of COVID-19 on orders, manufacturing, installations, backlog conversion, cash flow, and the stated capital-spending plans.
- Track debt service, covenant headroom, cash location and accessibility, and the effect of the 2019 financing and currency swaps.
- Evaluate whether BSI NANO’s semiconductor metrology and industrial-market weakness persists and whether Life Science growth offsets it.
- Follow the German patent litigation and Korean tender investigation for potential operating or financial consequences.
