Revenue and activity: Q2 revenue declined 9% reported and 6% FX-neutral; first-half revenue declined 8% reported and 6% FX-neutral. Q2 GMV fell 18% reported and 14% FX-neutral to $18.5 billion. Net transaction revenue fell 8% to $2.30 billion, while marketing services and other revenue fell 27% to $125 million. Take rate increased to 12.38% from 11.05%, partly cushioning the GMV decline.

Margins and expenses: Q2 gross margin was 72.6% versus 74.8%; operating margin was 21.7% versus 27.4%. First-half gross margin was 72.4% versus 75.9%. Q2 operating expenses totaled $1.23 billion, down 2%; cost of revenue was $663 million, down 1%, but increased as a share of revenue to 27.4% from 25.2%.

Cash flow: First-half cash from continuing operations was $1.21 billion, down from $1.96 billion. Continuing investing activities provided $3.76 billion, primarily reflecting investment maturities and sales; continuing financing activities used $4.18 billion, including $2.54 billion of share repurchases, $1.36 billion of debt repayments and $250 million of dividends. Q2 continuing operating cash flow was $577 million versus $1.0 billion.

Liquidity and debt: At June 30, cash and cash equivalents were $1.74 billion; short- and long-term investments were $3.63 billion. Management reported $4.5 billion of cash and non-equity investments, compared with $7.3 billion at year-end 2021. Total debt was $7.73 billion, including $1.15 billion current and $6.58 billion long-term; no commercial paper or credit-facility borrowings were outstanding. The company reported compliance with debt covenants and said available liquidity and expected operating cash flow should meet requirements for the next 12 months and foreseeable future.

Material changes versus the prior period

  • Management attributed weaker revenue and GMV mainly to post-pandemic normalization of consumer behavior, softer market conditions, and lower traffic; foreign exchange also reduced reported revenue.
  • Managed-payments migration, completed globally by the end of 2021, lifted take rate and partly offset lower volume. Management expects that comparative take-rate benefit to taper in the second half of 2022.
  • Q2 continuing-operations results included a $1.22 billion loss on equity investments and the Adyen warrant; first-half loss was $3.51 billion. The Adevinta investment alone generated fair-value losses of $829 million in Q2 and $2.47 billion in the first half. These non-operating valuation losses drove the reported continuing net loss despite positive operating income.
  • Prior-year net income included a $12.5 billion pre-tax gain on the 2021 Classifieds transfer. The 2021 comparison also included discontinued operations from Classifieds and eBay Korea, so prior-year total net income and EPS are not directly comparable with 2022.
  • Total assets fell to $19.65 billion from $26.63 billion at year-end, including a decline in the Adevinta investment’s carrying value to $2.92 billion from $5.39 billion. eBay repurchased $2.54 billion of stock in the first half and redeemed $1.36 billion of notes due in 2022.

Outlook, risks and unusual items

  • Management expected lower traffic in most markets to continue through the remainder of 2022, citing geopolitical and macroeconomic uncertainty as well as year-over-year comparisons with COVID-19-related elevated activity. The filing text does not provide clear numerical revenue or earnings guidance.
  • Management cited the war in Ukraine, global economic uncertainty, currency movements and changing consumer behavior as risks to revenue, margins, funding costs and liquidity. A 100-basis-point increase in rates was estimated to reduce investment fair value by $34 million at June 30, 2022.
  • eBay held a 33% Adevinta interest subject to a contractual retention requirement, and equity-price volatility can materially affect earnings. Management estimated that a $1 change in Adevinta’s share price would change the investment’s fair value by approximately $405 million, holding other factors constant.
  • The company received U.S. Department of Justice inquiries regarding products allegedly violating certain laws and regulations, including EPA and DEA regulations. Potential liability, including business-practice changes, could be material; the company could not estimate a possible loss. Recorded legal accruals and reasonably possible direct monetary losses were described as not material, but proceedings remain unpredictable.
  • eBay incurred $13 million of exit costs associated with the announced closure of its marketplace in Turkey. It acquired NFT marketplace KnownOrigin in June 2022; the filing gives no purchase price in the supplied text.

Key facts for investors to verify

  • Whether traffic, GMV and revenue stabilize, and how much the higher take rate continues to offset weaker transaction volume.
  • How sensitive reported earnings, assets and liquidity remain to fair-value movements in Adevinta and other equity investments.
  • Whether operating cash flow remains sufficient alongside planned repurchases, dividends and upcoming debt maturities.
  • Developments in the DOJ inquiries, tax examinations, and other legal or regulatory matters for which outcomes or losses may be uncertain.
  • Whether foreign exchange pressure, macroeconomic conditions and payment-processing costs continue to affect revenue and margins.
