Greenland Technologies Holding Corp. — 2019 Form 10-K
Business context and reporting period. This annual report covers the fiscal year ended December 31, 2019; it does not provide standalone fourth-quarter results. Greenland manufactures transmission products, primarily for forklift trucks, through operations in China. A robotic cargo carrier was in development. The October 24, 2019 business combination with Zhongchai Holding was accounted for as a reverse recapitalization, so the financial statements principally reflect Zhongchai’s historical operations.

Working capital was $24.25 million, compared with a $14.98 million deficit in 2018; the improvement was primarily attributable to a $36.04 million current receivable from controlling shareholder Cenntro Holding. Accounts receivable, net, were $11.97 million, including a $1.04 million allowance for doubtful accounts; notes receivable were $16.16 million.
Short-term bank loans were $16.86 million, bank acceptance notes payable were $15.05 million, and long-term bank loans were nil. The company reported total equity of $46.96 million.
Material changes versus 2018
- Revenue fell 13.0% (about 8.9% in RMB), primarily as production declined during the move to the new factory; the company said it had fully settled into the facility by October 2019. Transmission-product volume fell to more than 83,567 sets from more than 92,374.
- Gross profit declined 12.0%, while gross margin edged up to 23.6% from 23.4%. Operating income decreased 24.1% and net income decreased 23.2%.
- General and administrative expense rose 35.5% to $2.23 million, mainly due to business-combination and related professional costs. R&D expense declined 6.3% to $2.36 million, which management attributed partly to reduced activity during the factory transition.
- Operating cash flow increased to $8.00 million, but cash and cash equivalents fell 61.8% to $2.12 million. Financing cash outflow reflected substantial loan repayments; the company reported paying off approximately $47.67 million of bank loans during 2019.
Outlook, risks and unusual items
- COVID-19: Zhejiang operations, including the factory, were temporarily shut until the end of February 2020 under local restrictions. Management reported reduced first-quarter production, supplier disruption, and uncertain customer demand, and warned of potentially significant adverse effects on operations and results.
- Robotics: A production-ready sample of a roughly 500-kilogram-payload carrier was completed in January 2020, but management expected to delay launch pending market response. A roughly 100-kilogram model was also planned. No quantified financial guidance was provided.
- Related-party collection: The company expected Cenntro Holding to repay the approximately $36.04 million current receivable by October 2020, but stated repayment was not assured. A failure to collect could materially affect the balance sheet and liquidity.
- Funding and restrictions: Management expected to rely on operating cash flow, renewed bank borrowings, possible equity financing, and shareholder or affiliate support if needed. It stated it believed available sources could fund the next 12 months, while also noting possible future need for additional cash. PRC rules restrict dividend distributions and cross-border transfers; a portion of cash and assets is pledged or restricted.
- Concentration and operating risks: The five largest customers generated 43.62% of revenue; the largest represented 14.03%. Raw-material price volatility, customer credit risk, competition, foreign-exchange movements, and dependence on PRC operations are additional exposures.
- Controls and legal matters: Management concluded disclosure controls and internal control over financial reporting were ineffective due to a material weakness involving insufficient U.S. GAAP and SEC-reporting expertise among accounting personnel. Remediation was planned for 2020. A shareholder action challenging the business-combination disclosures was dismissed; discussions over possible plaintiff counsel fees remained ongoing. The auditor changed from Marcum to BDO in January 2020; the filing reports no disagreements or reportable events with Marcum.
- Other notable items: The business combination issued 7.5 million shares to the seller, which became the controlling shareholder. Government subsidies recorded in long-term liabilities were $2.18 million at year-end. The company reported no off-balance-sheet arrangements.
