Debt and Liquidity

At September 30, 2022, the Company had $242.5 million of term loan debt, net of debt issuance costs, and $32.5 million drawn under its revolving ABL facility. ABL availability was $164.7 million, before any potential reduction related to future financial assurance requirements. Reported liquidity, including cash and ABL availability, was approximately $170.6 million.

The ABL facility was amended in August 2022, increasing the maximum commitment from $150.0 million to $200.0 million and extending maturity to August 2027, subject to a springing maturity provision. The term loan matures February 28, 2025. The term loan interest rate was 6.02% at September 30, 2022, and ABL borrowing rates ranged from 2.19% to 6.75%. The Company was in compliance with debt covenants at quarter-end.

Material Changes and Unusual Items

  • The Company recorded a $5.1 million Wallace facility remediation expense in Q3 and year to date, increasing the related reserve to $5.6 million. Management expects to provide approximately $5.6 million of financial assurance, likely through a letter of credit, which would reduce ABL availability.
  • Equity in losses from Vasconia was $8.2 million in Q3 and $7.4 million year to date, including a $6.2 million non-cash impairment charge. The carrying value of the 24.7% investment was $14.4 million at September 30, 2022.
  • The Company acquired the S'well brand in March 2022 for $18.0 million in cash, with preliminary contingent consideration of $0.7 million and up to $5.0 million potentially payable based on milestones. S'well contributed $8.0 million of Q3 sales and $12.4 million of nine-month sales.
  • Net cash used in investing activities increased to $19.9 million, primarily because of the S'well acquisition. Financing activities provided $18.4 million, including revolving-credit borrowings.
  • The Company repurchased 389,743 shares for $4.7 million during the first nine months under a $20.0 million authorization. The quarterly dividend remained $0.0425 per share.
  • Subsequent to quarter-end, management approved a U.K. workforce reorganization expected to cost $0.6 million in Q4 2022 and generate approximately $2.3 million of annual savings. The Company also expects approximately $1.4 million of termination-related compensation for Executive Chairman Jeffrey Siegel under a November 2022 transition agreement.

Outlook, Risks and Management Commentary

The filing does not provide formal revenue or earnings guidance. Management expects to continue using the ABL facility to fund seasonal working-capital needs and believes cash on hand, operating cash flows and available revolver capacity are sufficient for the next twelve months, although it notes that adverse changes could require alternative financing.

Key risks include inflation, weaker consumer demand, retailer inventory buildup, global supply-chain disruption, higher freight and labor costs, foreign exchange movements, U.K. market weakness, tariffs and trade policy, interest-rate increases, customer credit risk, acquisition integration, debt maturity and covenant requirements, and continued volatility in the Vasconia investment.

The Wallace EPA matter remains a material contingency. The Company has reserved $5.6 million, but stated that its ultimate liability cannot currently be estimated and could be material. The CBP tariff-classification matter also remains unresolved; potential additional duties are estimated at $1.3 million, with possible penalties of up to $2.6 million for negligence or $5.2 million for gross negligence, although the Company considers the loss reasonably possible rather than probable.

Investor Verification Priorities

  • Verify the pace of sales recovery during the holiday-heavy fourth quarter and whether retailer inventory levels normalize.
  • Monitor cash generation, inventory days, receivables sales, ABL availability and the impact of the expected $5.6 million Wallace financial assurance.
  • Assess refinancing or repayment plans for the $242.5 million term loan maturing in February 2025.
  • Track Vasconia’s operating performance and the risk of further impairment of the $14.4 million investment.
  • Verify S'well integration results, contingent consideration exposure and expected synergies.
  • Follow the Wallace EPA and CBP matters, including any changes in reserves, financial assurance or potential penalties.
  • Review the effect of the U.K. restructuring and executive transition costs on fourth-quarter and 2023 results.
