Platform activity: Unique active users reached 218 million, up from 148 million; gross merchandise volume was $44.749 billion, up from $34.449 billion; items sold totaled 1.404 billion, up from 1.147 billion; and total payment volume was $182.821 billion, up from $123.633 billion. Total payment transactions increased to 9.470 billion from 5.470 billion.

Credit: Net loans receivable were $2.694 billion at year-end, compared with $1.736 billion. The past-due loans ratio improved to 29.5% from 39.9%. Provision for doubtful accounts was $1.050 billion, down slightly from $1.073 billion. Management attributed improving delinquencies to shifting exposure toward lower-risk customers, products and geographies. The allowance for loan losses was $1.102 billion; the auditor identified this estimate as a critical audit matter.

Liquidity, debt and capital allocation

  • Cash and cash equivalents were $2.556 billion; restricted cash was $1.292 billion; and short-term investments were $3.480 billion. Of the investments, $2.289 billion was principally associated with Brazil’s Central Bank mandatory guarantee and was not available as ordinary liquidity. Management cited $3.747 billion of cash and short-term investments as its main liquidity source, excluding that guarantee investment.
  • Loans payable and other financial liabilities totaled $4.495 billion at year-end, compared with $4.758 billion in 2022. Including operating lease liabilities, the company’s non-GAAP net debt was $1.505 billion, down from $2.139 billion.
  • Debt includes $393 million of 2.375% sustainability notes due 2026 and $635 million of 3.125% notes due 2031. The $400 million revolving credit facility, due March 2025, was undrawn. The 2028 convertible notes were fully converted or redeemed in 2023.
  • Operating cash flow benefited in part from increases in customer funds payable and other payables. Investing cash outflow included $2.047 billion of net lending activity and $509 million of capital expenditures. The company repurchased $356 million of stock and paid no dividend; up to $157 million remained under its repurchase authorization at year-end.

Material changes, outlook and notable items

  • Growth was broad-based: 2023 revenue increased 34.0% in Brazil, 29.6% in Argentina and 60.1% in Mexico. On a foreign-exchange-neutral basis, consolidated revenue growth was 67.9%, compared with reported growth of 37.4%; this measure does not remove local inflation effects.
  • Commerce growth reflected higher merchandise volume, shipped items, service fees and first-party sales. Fintech growth reflected 48% higher total payment volume and increased credit revenue, although credit revenue growth moderated as the company pursued a lower-risk portfolio.
  • Management reported a $351 million one-time expense related to disputed Brazilian tax contingencies, principally a $327 million provision for withholding income tax, net of $273 million in related judicial deposits. The charge affected operating expenses and cost of revenue. A separate $31 million ICMS-DIFAL tax contingency expense was included in sales taxes.
  • Foreign currency losses were $615 million, compared with $198 million in 2022. Management cited Argentina’s December peso devaluation and the cost of accessing U.S. dollars through indirect mechanisms, including in connection with Argentine share repurchases. Argentina’s reported annual inflation rate was 211.4%.
  • The company does not provide traditional near-term earnings guidance. It emphasizes long-term growth and strategic execution and stated that existing cash, investments, operating cash generation and receivables funding should cover foreseeable operating and investment needs.
  • Risks include intense competition; credit losses and funding costs; inflation, currency devaluation and exchange controls; evolving fintech, privacy and tax regulation; fraud and cybersecurity; and reliance on logistics, cloud and other third-party providers. The company reported no material cybersecurity incidents in the prior three fiscal years.
  • After year-end, Mexico’s COFECE issued preliminary e-commerce competition findings that could lead to corrective measures affecting certain practices; the outcome remains uncertain. Argentina’s central bank postponed the planned replacement of DEBIN funding to April 30, 2024. MercadoLibre implemented a new SAP ERP version in January 2024 and disclosed potential implementation and control risks.
  • Financial statements received an unqualified audit opinion, and management and the auditor concluded internal control over financial reporting was effective as of December 31, 2023.

Investor facts to verify

  • Whether revenue and profit growth remain strong after adjusting for currency movements, inflation and the unusually high fourth-quarter seasonal contribution.
  • Whether loan delinquency improvements persist as the credit portfolio expands, and how allowance assumptions and write-offs evolve.
  • The cash availability and regulatory restrictions on customer funds and investments, particularly Brazil’s mandatory guarantee balances.
  • The resolution and eventual cash impact of Brazilian tax matters, including the $327 million withholding-tax provision and outstanding ICMS-DIFAL disputes.
  • The effect of exchange controls, peso depreciation and inflation on Argentine results, repurchases and cash transfers.
  • Any final COFECE measures in Mexico, implementation of the ERP system, and changes to fintech capital or funding requirements.
