- Revenue grew 73.0% reported and 126.5% on the company’s foreign-exchange-neutral basis. Commerce revenue rose 90.1% to $2.560 billion; Fintech revenue rose 48.8% to $1.414 billion.
- Gross margin declined 5.0 percentage points, mainly due to higher shipping operating costs and cost of goods sold as a share of revenue. Operating results improved substantially as marketing expense fell to 22.7% of revenue from 36.3%, aided by stronger organic demand.
- Net loss narrowed to $0.7 million despite positive operating income. Income tax expense was $82.0 million; other expense included a $42.5 million foreign-currency loss. Basic and diluted loss per share were both $0.08.
- Platform activity accelerated: unique active users were 132.5 million versus 74.2 million; gross merchandise volume was $20.927 billion versus $13.997 billion; total payment volume was $49.757 billion versus $28.390 billion; and successful items sold were 719.3 million versus 378.9 million.
- Operating cash flow rose to $1.183 billion. The filing attributes the increase substantially to growth in funds payable to customers and amounts due to merchants and in accounts payable and accrued expenses; higher credit-card receivables and inventories partly offset the inflow.
Liquidity, debt and capital allocation
- At year-end, cash and cash equivalents were $1.856 billion, restricted cash was $651.8 million, short-term investments were $1.241 billion and long-term investments were $166.1 million. Management reported $2.461 billion of cash, cash equivalents and short-term investments for liquidity, excluding specified Brazilian guarantee and escrow investments.
- Loans payable and other financial liabilities totaled $1.409 billion at year-end ($548.4 million current and $860.9 million non-current). This included the 2028 convertible notes, whose reported net carrying amount was $602.4 million. Funds payable to customers and amounts due to merchants were $1.733 billion and are operating liabilities, not borrowings.
- In January 2021, after year-end, the company issued $400 million of 2.375% sustainability notes due 2026 and $700 million of 3.125% notes due 2031. It also repurchased $440 million principal amount of its 2028 notes for a total stated payment of approximately $1.865 billion, including accrued interest and premium; approximately $440 million principal remained outstanding. The company expected a material negative impact on first-quarter 2021 other income and equity from the repurchase.
- The company repurchased 48,688 shares during 2020 under a program authorized for up to $350 million. It recorded a $44.5 million foreign-currency loss related to obtaining U.S. dollars for the purchases under Argentine exchange restrictions. Dividends have been suspended since Q1 2018.
Outlook, commentary and risks
- Management does not provide traditional earnings guidance, citing uncertainty in forecasting near-term results and its focus on long-term investment and growth.
- Management said COVID-19 accelerated online commerce and digital payments, contributing to 2020 growth, while lockdowns hurt some offline payments and caused logistics disruption. Future effects remain uncertain; a return toward pre-pandemic shopping and payment patterns could also weigh on results.
- Credit originations were slowed early in the pandemic and later increased as management saw improving non-performing loans and stronger credit-model data. Credit quality remains a key uncertainty: year-end loans receivable were $479.5 million gross with a $77.8 million allowance. The auditor identified the expected-credit-loss estimate as a critical audit matter, citing limited loan-business history and judgment around COVID-19 assumptions.
- Key exposures include Latin American currency depreciation, inflation, exchange controls and political/economic volatility; competition; changing regulation of payments, lending, privacy and e-commerce; cybersecurity and service-provider dependence; fraud and credit losses; and logistics capacity and costs. Brazil, Argentina and Mexico represented 55.2%, 24.7% and 14.5% of revenue, respectively.
- Gross margins may face pressure from logistics investment and sales of goods, which carry lower product margins. The company also noted that currency depreciation can reduce reported U.S.-dollar revenue.
- Legal contingencies included $10.9 million accrued for matters assessed as probable and up to $57.7 million of reasonably possible claims for which no loss was accrued. MercadoLibre was included on U.S. and European lists identifying online markets associated with counterfeiting and piracy.
- Previously reported material weaknesses involving controls over credit-card and other payment accounts were reported remediated as of December 31, 2020. Management and the auditor concluded internal control over financial reporting was effective at year-end.
