SANUWAVE Health, Inc. annual report, FY2021

SANUWAVE Health, Inc. — FY2021 Form 10-K

Reporting period: Fiscal year ended December 31, 2021. Filed May 13, 2022. This is an annual report, not a standalone fourth-quarter earnings report.

Business context

SANUWAVE develops and commercializes noninvasive wound-care and regenerative-medicine technologies. Its portfolio includes dermaPACE, cleared in the U.S. for diabetic foot ulcers; UltraMIST ultrasound wound therapy; and licensed Biovance and Interfyl biologic products. The UltraMIST business was acquired from Celularity in August 2020, so 2021 included a full year of UltraMIST revenue versus approximately five months in 2020.

Financial results and liquidity

MetricFY2021FY2020
Revenue$13.0 million$4.1 million
Cost of revenue$5.0 million$1.2 million
Gross profit / margin$8.0 million / 62%$2.9 million / 71%
Operating expenses$22.2 million$28.1 million
Operating loss$14.1 million$25.2 million
Net loss$27.3 million$30.9 million
Operating cash used$6.4 million$12.7 million

Revenue increased 221%, driven primarily by a full year of UltraMIST sales. Gross margin declined, which management attributed mainly to minimum purchase fees related to the acquisition that had no associated revenue in the first half of 2021. Selling and marketing expense rose 66% to $8.6 million, while general and administrative expense declined 15% to $11.7 million. FY2020 included a $7.2 million impairment charge on biologics customer relationships; no impairment was recorded in 2021.

Other expense increased to $13.1 million from $5.7 million, including $6.9 million of interest expense, a $3.6 million loss on debt issuance, and a $2.6 million noncash charge from changes in derivative fair value. Loss per basic and diluted share was $0.05 versus $0.08; weighted-average shares were 518.4 million versus 378.1 million.

At year-end, cash was $619,000, current assets $4.4 million, total assets $18.6 million, current liabilities $56.3 million, total liabilities $57.6 million, and stockholders’ deficit $39.0 million. Cash declined $1.8 million during 2021. Financing activities provided $5.1 million, including convertible-note proceeds, factoring, and other note proceeds. The filing reports $25.6 million of total debt principal before discounts, including $24.7 million classified as current; much of the debt was in default. The $15 million senior secured note is secured by substantially all company assets.

Material changes and significant items

  • FY2021 revenue growth largely reflects the acquired UltraMIST business being included for the full year, rather than comparable organic growth alone.
  • Senior secured debt remained in default for failure to meet minimum-liquidity requirements. The $4.0 million Celularity seller note and $1.4 million HealthTronics note matured in August 2021 without repayment; other notes were also in default. Default interest, debt discounts, derivative liabilities, and registration penalties add to financing costs and obligations.
  • The company used receivables factoring and advances against future receipts. The factoring arrangement is accounted for as financing, carries stated annualized rates of 14.4%–15.0%, and had $1.7 million due at year-end.
  • Common shares outstanding were 481.6 million at December 31, 2021; 517.2 million were reported outstanding as of May 10, 2022. Warrants, options, and convertible notes create substantial potential dilution.

Outlook, risks, and contingencies

Management expects further operating losses and negative operating cash flow, including during the first half of 2022. It plans to seek capital in 2022 and 2023 through strategic partners or licensing, warrant conversion, equity, convertible securities, or debt. The filing gives no quantified revenue, profit, or cash-flow guidance and cautions that financing may not be available on acceptable terms—or at all. Failure to raise funds could require significant curtailment or discontinuation of operations.

The auditor and management both identify substantial doubt about the company’s ability to continue as a going concern for at least 12 months. The financial statements contain no adjustments for a possible failure to continue as a going concern. Other key risks include COVID-related demand, supply-chain and clinical-trial disruption; reliance on limited or single-source suppliers; reimbursement and market-acceptance uncertainty; competition and regulatory requirements; and potential dilution.

Celularity notified the company in May 2021 that it believed SANUWAVE was not complying with the Biovance license agreement; SANUWAVE disputes the allegation and asserts counter-breaches. The outcome and financial impact were unclear. The filing also refers to a Minnetronix supplier dispute in subsequent-event disclosures. Management reported ineffective disclosure controls and internal control over financial reporting, citing material weaknesses involving complex accounting, vendor-service financial instruments, and accounting and IT processes. The 2021 report was filed late, and the common stock traded on the OTC Expert Market at the filing date.

After year-end, the company disclosed $0.1 million from warrant exercises and a $3.0 million note issuance accompanied by advisor shares and warrants. These are subsequent events, not FY2021 operating results.

Important facts for investors to verify

  • Near-term cash needs, debt-default status, creditor remedies, and whether planned financing was completed on terms that allow operations to continue.
  • Revenue and gross-margin trends excluding acquisition timing effects, and whether UltraMIST growth offsets ongoing commercial and financing costs.
  • Potential dilution from outstanding warrants, convertible debt, and subsequent financing; reconcile the year-end share count with the May 2022 count.
  • Resolution and financial consequences of the Celularity and Minnetronix disputes, including continued access to products and suppliers.
  • Cash-flow figures: the cash-flow statement reports $6.4 million used in operations, while other MD&A passages cite $6.7 million or $6.9 million for related cash-use measures; confirm the intended reconciliation.
  • Progress in remediating material weaknesses, filing compliance, and any resulting impact on OTC market access and trading liquidity.
