- Fourth-quarter 2014 revenue was $87.2 million and net loss was $2.0 million.
- At year-end, cash was $7.0 million, current assets $89.4 million, total assets $129.7 million, total liabilities $82.8 million and equity $46.9 million. Debt of $17.0 million was classified as current.
- Year-end credit-facility borrowing availability was $10.6 million after letters of credit; together with cash, reported liquidity was $17.6 million. Operating cash was partly offset by working-capital needs; financing activities used $9.5 million, including $7.0 million of debt repayment and $1.6 million of dividends.
Material changes and unusual items
- Revenue growth was driven by higher Industrial Group volumes in commercial vehicles, trailers and light trucks. The Electronics Group was affected by lower encryption and data-systems sales.
- Dana represented approximately 59% of 2014 revenue and Meritor 16%; the five largest customers represented 85%. Dana stopped ordering from Sypris effective December 31, 2014, following a dispute over a purported supply-agreement extension through 2019. Sypris does not expect significant direct Dana business in 2015.
- The 2014 results included $8.7 million of revenue recognized from the Dana settlement claim, which was fully amortized by year-end. Other income included approximately $0.7 million of flood-relief grant proceeds and $0.7 million of foreign-currency gains. The 2013 comparison included a $6.9 million non-cash goodwill impairment.
- The $4.6 million 2014 tax expense exceeded pretax income; the filing identifies foreign repatriation-related tax effects among the principal items in the tax reconciliation.
Outlook, liquidity and risks
- Management expected significantly lower Industrial Group production and operating losses in the near term as the company works to replace Dana revenue. It was pursuing new customer programs and alternative uses for capacity, but gave no assurance these efforts would succeed. Management also expected Electronics Group uncertainty to continue and said new products were not expected to generate significant revenue in 2015.
- In March 2015, the credit facility was amended, with borrowings capped at $25 million, maturity moved to January 15, 2016, dividends restricted, and interest increasing from approximately 6% toward an estimated 10% by January 2016. The amendment requires new capital through subordinated debt, property sales or both by September 30, 2015, and imposes minimum availability and revised covenants.
- Sypris received a $4.0 million subordinated loan from an entity controlled by its CEO and a director, bearing 8% interest and maturing April 12, 2016. Management forecast sufficient liquidity through 2015, subject to revenue, cost, covenant and financing assumptions.
- Sypris appealed an Ohio court ruling adverse to its position on the Dana contract’s enforceability; arbitration claims between the parties were also pending. Sypris disclosed claims by Dana for approximately $3 million in rebates and Sypris claims seeking up to approximately $9 million under the original agreement, in addition to its claims relating to the repudiated extension. Outcomes and potential recoveries were uncertain.
- Other key risks include customer concentration, potential covenant default or inability to refinance, underutilized facilities, uncertain defense appropriations, labor and supply disruptions, and environmental liabilities. Management reported effective disclosure controls and internal control over financial reporting; the auditor issued an unqualified opinion on the financial statements.
Important facts for investors to verify
- Progress and economics of replacing Dana revenue, including new customer awards, production volumes and cost reductions.
- Status and outcome of the Dana litigation and arbitration, including timing and collectability of any damages or counterclaims.
- Compliance with amended credit-facility covenants and minimum availability requirements, and whether required capital or property-sale proceeds are secured by September 30, 2015.
- Actual liquidity and cash generation after the loss of Dana, including the effect of rising borrowing costs and restricted dividends.
- Whether the Electronics Group can improve margins and commercialize new products, and whether pension and tax assumptions remain supportable.
