  • Revenue mix and growth: Q3 net product revenue was $47.7 million and service revenue was $18.7 million. For the nine months, these were $124.2 million and $36.3 million, respectively. Management attributed growth principally to higher OCS disposable-set volumes and greater NOP utilization, particularly for liver and heart transplants in the U.S.
  • Margins: Q3 product gross margin was 77% versus 80% a year earlier; service gross margin was 21% versus 24%. Management cited capacity expansion, higher component costs and scrap for product margin pressure, and transportation startup and Summit integration costs for service margin pressure. Nine-month product and service gross margins were 78% and 25%, compared with 78% and 26%.
  • Cash flow and liquidity: Operating activities used $21.3 million in the first nine months, versus $41.8 million in 2022. Investing activities used $152.1 million, including $110.0 million of property and equipment purchases; financing activities provided $399.5 million, primarily from the notes issuance. Cash was $427.1 million at September 30 ($427.6 million including restricted cash). The company said cash should fund operating costs, capital expenditures and debt service for at least 12 months after filing.
  • Debt: The company had $460 million principal amount of 1.50% convertible notes due 2028, recorded net at $446.4 million, and $60 million principal amount of CIBC term debt, recorded net at $59.0 million. CIBC debt bears variable interest; the stated rate was 7.3% at quarter-end. Principal repayments are scheduled to begin July 2026, with maturity in July 2027. The company reported compliance with CIBC financial covenants.
  • Balance sheet: Current assets were $536.7 million and current liabilities $49.1 million. Total assets were $689.2 million and stockholders’ equity $126.5 million. Accumulated deficit was $507.7 million.

Material changes versus the prior comparable period

  • Q3 revenue increased 159% year over year; nine-month revenue increased 158%. U.S. OCS transplant revenue was $59.7 million for Q3 and $146.1 million for the nine months. NOP participants represented approximately 98% of U.S. OCS transplant revenue in Q3, compared with 90% a year earlier.
  • Q3 net loss widened by $18.0 million, chiefly reflecting a $27.2 million charge for acquired in-process research and development (IPR&D), higher operating expenses and interest expense. For the nine-month period, net loss improved slightly despite higher operating losses, helped by higher interest income and other income.
  • Q3 selling, general and administrative expense rose to $30.7 million from $16.9 million, reflecting headcount and NOP expansion, acquisition transaction costs and other professional fees. Research and development expense increased to $11.1 million from $6.8 million.
  • Cash and cash equivalents rose from $201.2 million at December 31, 2022, mainly due to the convertible-note financing. Property, plant and equipment increased to $131.0 million from $19.2 million, principally from aircraft purchases.

Outlook, management commentary and notable items

  • No specific near-term revenue or earnings guidance is provided. Management expects revenue to grow over the long term with OCS commercialization and NOP expansion, and anticipates long-term gross-margin improvement from scale and manufacturing efficiencies. It expects operating losses and higher spending to continue as it expands sales, NOP, manufacturing, aviation capabilities, product development and clinical work.
  • On August 16, 2023, TransMedics acquired Summit Aviation for preliminary consideration of $14.9 million net of cash acquired. The acquisition adds aviation services to NOP. The company also acquired eight fixed-wing aircraft for $103.0 million and plans additional aircraft purchases. Summit’s legacy charter and aircraft-management customers are being transitioned to third parties; flight-school services continue.
  • On August 2, 2023, the company acquired lung and heart perfusion technology assets from Bridge to Life for $27.2 million. Because the technology had no alternative future use, the amount was expensed as IPR&D. Further development and commercialization remain subject to development, clinical and regulatory outcomes.
  • Management anticipates $5–$6 million of additional hangar construction costs over the following six months. It also disclosed a non-cancellable $7.0 million remaining purchase commitment for goods through 2029.
  • Key risks include continued losses and possible need for additional financing; scaling manufacturing and sterilization; customer adoption and reimbursement; dependence on some suppliers; regulatory approvals; and aviation execution, including pilot availability, maintenance, fuel, safety, insurance and FAA/DOT requirements. The company also cited uncertainty around federal changes to the Organ Procurement and Transplantation Network.
  • The company disclosed a Q2 2023 cybersecurity infiltration involving unauthorized theft of employee and financial data. It said the incident did not materially affect operations and that additional safeguards were implemented; future effects could be material. No material legal proceedings were reported.

Important facts for investors to verify

  • Whether NOP and OCS utilization sustain revenue growth while service and product margins recover from Q3 pressure.
  • Aircraft-fleet expansion, Summit integration costs and operational performance, including pilot capacity, safety, maintenance and transportation economics.
  • Cash use and planned aircraft and hangar spending against management’s stated 12-month liquidity estimate, as well as continued compliance with CIBC covenants.
  • Development, clinical and regulatory progress for the acquired Bridge to Life assets and next-generation OCS products.
  • Follow-up disclosure on the cybersecurity incident and effectiveness of safeguards, and any material impact on data, customers or operations.
  • Potential dilution and settlement obligations under the $460 million convertible notes; the initial conversion price is approximately $94 per share, with capped calls intended to offset dilution subject to a cap.
