Q2 sales declined about 2% year over year; first-half sales fell about 3%. First-half operating results included $78.8 million of acquired in-process R&D expense related to AMF Medical and a $14.1 million facility impairment charge. Q2 gross margin improved one percentage point, with manufacturing cost reductions and efficiencies partly offset by product mix and the Tandem Choice program.
Cash flow and liquidity. First-half operating cash flow was negative $24.6 million, versus positive $20.7 million in 2022. Cash and cash equivalents were $130.8 million at June 30, 2023; short-term investments were $376.5 million, for combined liquidity of $507.2 million. Cash declined $41.8 million from year-end. Inventory rose to $147.6 million from $111.1 million, while accounts receivable fell to $98.7 million from $114.7 million. Management said available liquidity, credit availability, and expected operating cash flows should fund core activities for at least 12 months.
Debt. Convertible notes due May 2025 had $287.5 million principal and a $284.1 million net carrying amount, bearing fixed interest of 1.50%. No revolver borrowings were outstanding at June 30; a $4.9 million standby letter of credit was outstanding. On August 2, 2023, after quarter-end, the revolving facility was amended: its maximum was reduced from $100 million to $50 million, the maximum net leverage covenant was suspended, and borrowing-base restrictions applied for Q2 and Q3 2023.
Material changes and management commentary
- U.S. Q2 pump sales declined 9%, while supplies and other sales rose 10%, supported by 14% growth in the estimated U.S. installed base. U.S. sales included a $2.3 million Tandem Choice deferral; the first-half deferral was $4.3 million.
- International first-half sales fell 8%. Management attributed much of the decline to distributor inventory reductions after opening a centralized European distribution center; it said the transition was substantially complete by the end of Q2. International ordering patterns remain variable.
- Q2 SG&A increased 21% and R&D increased 28% year over year. Excluding the Q2 facility impairment, SG&A still increased, principally due to employee costs; R&D growth reflected personnel, acquisitions, and development spending.
- In July 2023, the FDA cleared Tandem Mobi. The company expected a limited U.S. release in late 2023 and full commercial availability in early 2024. It began a limited U.S. release of Tandem Source in June 2023.
Outlook, risks, and unusual items
- The filing gives no quantified revenue or earnings guidance. Management noted that Tandem Choice’s financial impact through its December 31, 2024 expiration cannot currently be estimated; deferrals and margin effects depend on Mobi timing and customer elections.
- Management cited macroeconomic pressures affecting pump purchasing, inflation and supplier costs, reimbursement and regulatory uncertainty, seasonality, and the possibility that anticipated product launches may shift customer purchasing timing.
- Cash use and working capital warrant attention, including the first-half inventory increase. The company also has long-term lease commitments, including estimated Phase II headquarters rent of $34.7 million from 2025 through 2035, subject to the actual commencement date.
- AMF Medical earnouts of up to CHF 129.6 million are contingent on development and regulatory milestones and were not recognized as a liability at June 30. A $78.8 million acquired IPR&D charge was recorded for the acquisition.
- A class-action case relating to a 2020 phishing incident was dismissed at trial level, but plaintiffs appealed an order concerning the company’s motion for summary adjudication. The company said the outcome and potential loss could not be determined; it reported no other material probable and estimable legal loss.
- The filing highlights cybersecurity, privacy, medical-device software, product quality and recall, regulatory clearance, reimbursement, and foreign-exchange risks. Management reported disclosure controls were effective at a reasonable assurance level and no material change in internal control during the quarter.
