Sales rose 9% year over year (13% on a constant-currency basis). Orders increased 14% to 7.4 million; average order value declined 5% to $82, partly reflecting foreign currency, higher returns and promotional activity. Active customers increased about 3% to 3.8 million. The fourth quarter had sales of $149.1 million versus $182.4 million in Q4 2021; adjusted EBITDA was $6.1 million versus $16.1 million.
Operating expenses increased, including selling costs to $166.1 million, marketing to $66.7 million and general and administrative costs to $102.7 million. Their shares of sales also rose modestly. A $173.8 million non-cash goodwill impairment was the principal driver of the reported operating and net losses. Excluding the adjustments specified by management, adjusted EBITDA still fell about 49% year over year.
Liquidity, debt and balance sheet
At December 31, 2022, cash and cash equivalents were $46.3 million ($48.4 million including restricted cash), inventory was $126.5 million and total assets were $509.6 million. Total debt, net of issuance costs, was $143.6 million, including $105.2 million of term-loan borrowings and $40.0 million drawn on the revolving facility. The company reported compliance with its debt covenants and no excess cash flows requiring mandatory prepayment at year-end. A hypothetical 100-basis-point interest-rate change would affect annual interest expense by approximately $1.5 million.
Operating cash flow was nearly break-even, while capital expenditures of $19.7 million—primarily related to the Culture Kings Las Vegas store—contributed to negative free cash flow. Management said existing cash, operating cash generation and available borrowing capacity should meet anticipated needs for the next 12 months, while cautioning that liquidity assumptions could prove incorrect. Expected 2023 capital expenditures were approximately $8–$10 million. Future minimum operating lease payments totaled $48.9 million, including $8.3 million due within 12 months.
Material changes and unusual items
- Goodwill impairment: $173.8 million against Culture Kings and Rebdolls following lower forecasts amid inflation, higher interest rates and changing shopping preferences. Rebdolls goodwill was fully impaired; $60.0 million of Culture Kings goodwill remained. The mnml reporting unit’s estimated fair value exceeded carrying value by only 7%.
- Culture Kings and mnml contributed $269.6 million of 2022 sales; their 2021 results were included only from their respective acquisition dates, limiting comparability.
- Foreign currency translation reduced comprehensive income by $34.1 million in 2022. A 10% Australian-dollar exchange-rate movement could cause an estimated $27.9 million translation fluctuation.
- In March 2023, the company completed the sale of Rebdolls back to its founder and expected to record an approximately $1.1 million pre-tax loss. In February 2023, it repaid $6.0 million of revolving borrowings.
Outlook, risks and governance
The filing provides no specific numerical financial guidance. Management described continued pressure from inflation, potential economic slowdown, weaker consumer demand, promotional activity, returns, marketing efficiency, labor and sourcing costs, and foreign-exchange movements. It expected lower air-freight costs experienced in the second half of 2022 to benefit cost of sales during 2023. Planned initiatives include testing select wholesale and omnichannel opportunities, opening a Princess Polly store in 2023, expanding internationally and pursuing acquisitions; these plans are subject to execution and market risks.
Key risks include fast-changing fashion preferences, inventory management, supplier and sourcing concentration in China, shipping disruption, customer-acquisition costs, data privacy and cybersecurity, variable-rate debt and covenant compliance, and further goodwill or intangible-asset impairment. Ordinary-course legal proceedings were not expected by management to have a material adverse effect, though outcomes remain uncertain.
Management concluded disclosure controls and internal control over financial reporting were not effective at year-end because two previously identified material weaknesses remained unremediated: inadequate design, implementation and documentation of controls, and insufficient segregation of duties. Management reported remediation work was ongoing. The auditor issued an unqualified opinion on the financial statements but was not engaged to opine on internal-control effectiveness. On March 9, 2023, the company announced CEO Jill Ramsey would take time away for medical issues; CFO Ciaran Long was appointed acting CEO.
Most important facts for investors to verify
- Whether sales, customer retention and order economics stabilize, particularly given lower average order value and weaker Q4 sales.
- Whether adjusted EBITDA and cash generation recover, and how much of the reported loss reflects recurring operating performance versus impairment and other adjustments.
- Inventory levels, markdowns and returns, and whether the expected freight-cost relief materializes.
- Available liquidity, revolving-credit use, floating interest costs and ongoing compliance with credit-facility covenants.
- Assumptions underlying the Culture Kings and mnml valuations, any further impairment risk, and the financial effects of the Rebdolls sale.
- Progress in remediating the two material weaknesses and the leadership transition following the CEO’s leave.
