- Q3 gross margin was 27.9%, down 150 basis points; nine-month gross margin was 28.2%, down 80 basis points. Lower volume and elevated manufacturing costs—including materials, labor, depreciation and absorption—were key pressures; pricing and product mix partly offset them.
- Q3 net earnings, including discontinued operations, were $112.5 million versus $163.8 million. Nine-month net earnings were $359.5 million versus $535.3 million.
- Continuing-operations operating cash flow was $458.1 million for the nine months, compared with $313.8 million. Free cash flow, a non-GAAP measure as defined by the company, was $231.6 million versus negative $1.0 million. Capital expenditures were $233.1 million.
- At September 30, cash and short-term marketable securities were $331.7 million; total liquidity, including available credit-facility capacity, was $1,073.6 million. Total debt was $2,431.0 million and debt-to-capitalization was 54%. The company reported compliance with debt covenants and $741.9 million of available credit-facility capacity, net of letters of credit.
Changes and segment results
Consolidated sales declined 6.2% in Q3 and 3.6% for the nine months. Management attributed the Q3 decline mainly to lower volume, partly offset by product mix and pricing. Boat production was reduced to manage dealer pipelines; weaker marine and RV original-equipment demand and earlier aftermarket destocking affected Navico Group and Engine P&A.
- Propulsion: Q3 sales rose 0.5% to $718.2 million, while operating earnings fell 9.7% to $129.2 million. High-horsepower outboards and controls/rigging supported sales; input costs, labor-agreement expenses, restructuring and currency effects pressured earnings.
- Engine P&A: Q3 sales declined 4.4% to $344.6 million and operating earnings declined 15.6% to $75.0 million, reflecting lower distribution sales, restructuring and distribution-center transition costs.
- Navico Group: Q3 sales declined 9.1% to $213.4 million. Operating earnings improved to $2.7 million from a $1.8 million loss, as cost reductions and new products more than offset lower sales. Nine-month sales and earnings declined 13.7% and 61.5%, respectively.
- Boat: Q3 sales fell 16.1% to $428.6 million and operating earnings fell 59.2% to $20.3 million, due mainly to planned production reductions and elevated discounting for end-of-season retail sales. Nine-month sales were down 0.5% and operating earnings down 14.7%.
Outlook, risks and unusual items
- Management estimated 2023 capital expenditures of approximately $325 million, interest expense of approximately $100 million and working-capital usage of approximately $100 million. It increased expected 2023 share repurchases to more than $275 million and estimated average diluted shares of 70.25 million. The filing does not provide full-year revenue or earnings guidance.
- Restructuring, exit and impairment charges were $39.7 million for the first nine months. The company estimated total 2023 charges of $35–$40 million for announced streamlining actions, with approximately $40 million of annualized savings expected.
- A June 2023 IT security incident disrupted some systems and facilities; normal global operations resumed over nine days. Brunswick estimated lost nine-month revenue of $80–$85 million and lost operating earnings of $35–$40 million, and recorded $10.2 million in related non-recurring costs. It intends to seek insurance recovery for a portion of losses and costs.
- A $19.2 million impairment of the TN-BC Holdings joint-venture investment contributed to equity-method losses. The nine-month effective tax rate rose to 33.4% from 21.6%, primarily due to $64.7 million of discrete tax expense from intercompany intellectual-property transfers; the $52.9 million first-quarter amount is payable over time under Norwegian tax law, while the $11.8 million third-quarter amount is not deferred.
- Fliteboard was acquired on September 1 for $89.6 million net cash consideration. Its preliminary purchase accounting included $37.1 million of goodwill. The company cites consumer discretionary demand, dealer inventory reductions, inflation and supply costs, foreign exchange, cybersecurity, product liability and warranty claims, and execution of restructuring and growth plans among its risks. Interim results are seasonal and not necessarily indicative of full-year results.
Investor verification priorities
- Track boat production, dealer inventory and discounting, and whether end-market demand stabilizes.
- Assess whether restructuring delivers the targeted annualized savings and whether margins recover amid cost pressures.
- Monitor progress on incident insurance recoveries and any further cybersecurity-related disruption or expense.
- Verify cash generation, working-capital trends, share repurchases and liquidity alongside the $450 million of 0.85% notes classified as current and due in 2024.
- Review the final Fliteboard purchase-price allocation, the joint-venture impairment, and the timing and cash impact of discrete tax liabilities.
