NRG ENERGY, INC. quarterly report, Q1 FY2024

NRG Energy, Inc. — Q1 2024 Form 10-Q

Business context and reporting period

For the three months ended March 31, 2024, NRG operated energy retail, generation and home-services businesses across the U.S. and Canada. It reported approximately 8.0 million residential energy customers, approximately 2.0 million Vivint Smart Home subscribers and about 13 GW of generation capacity. Segments are Texas, East, West/Services/Other, Vivint Smart Home and Corporate.

Comparisons with Q1 2023 are affected by Vivint being consolidated only from March 10, 2023 in the prior period, and by the sale of NRG’s 44% interest in South Texas Project (STP) in November 2023.

Financial performance and liquidity

MetricQ1 2024Q1 2023
Revenue$7.429 billion$7.722 billion
Operating income/(loss)$872 million$(1.544) billion
Net income/(loss)$511 million$(1.335) billion
Net income/(loss) available to common shareholders$494 million$(1.339) billion
Diluted earnings/(loss) per share$2.31$(5.82)
Gross margin$1.933 billion$(776) million
Economic gross margin, a non-GAAP measure$1.802 billion$1.477 billion
Cash provided/(used) by operating activities$267 million$(1.598) billion
Cash capital expenditures$69 million$142 million

Revenue fell $293 million, or about 4%. Retail revenue declined $134 million; lower East business retail revenue was partly offset by growth in Texas and Vivint. Economic gross margin increased $325 million, about 22%. The much larger swing in reported gross margin and earnings was substantially affected by economic hedge mark-to-market results: Q1 2024 recorded a net $468 million gain for commodities and foreign exchange, versus a $1.932 billion loss in Q1 2023. These results include unrealized changes and reversals on settled positions, so they should not be read as equivalent to current-period cash generation.

Operating cash flow improved by $1.865 billion year over year, driven in significant part by a $1.701 billion change in cash collateral associated with risk management, as well as improved operating results. Working-capital movements also affected the comparison. Cash and cash equivalents were $278 million at quarter-end, down from $541 million at December 31, 2023.

Total liquidity, excluding funds deposited by counterparties, was $4.794 billion at March 31, 2024, versus $4.843 billion at year-end. This included $4.501 billion of availability under the revolving credit facility and collective collateral facilities. Total debt and finance leases were reported at $10.864 billion before debt issuance costs and discounts; balance-sheet amounts included $1.101 billion current and $9.559 billion long-term. Total liabilities were $22.104 billion and stockholders’ equity was $3.297 billion.

Material changes and capital allocation

  • Q1 2024 earnings improved sharply from the prior-year loss. The comparison includes the prior-year $199 million gain on the Astoria asset sale, while Q1 2024 recorded a $58 million loss on extinguishment of debt.
  • SG&A rose $165 million to $591 million, including $104 million associated with the full-period inclusion of Vivint, a $31 million increase in credit-loss provision, and higher broker commissions and marketing. Depreciation and amortization rose $78 million, mainly from Vivint intangible amortization. Acquisition and integration costs declined to $9 million from $71 million.
  • During Q1, NRG completed final settlements of its $950 million accelerated share repurchase, receiving 18.84 million shares in total at an average $50.43 per share. About $1.5 billion remained under its $2.7 billion repurchase authorization at March 31.
  • NRG raised its annual common dividend to $1.63 per share from $1.51 and stated a target of 7%–9% annual dividend growth in subsequent years. It also said it intends to reduce debt by approximately $500 million during 2024.

Outlook, risks and unusual items

  • Management said liquidity and operating cash flows are expected to fund operations, maintenance capital expenditures, dividends and other commitments. The filing does not provide a clear full-year earnings or Adjusted EBITDA guidance figure.
  • Estimated 2024 cash capital expenditures and investments are $670 million, including $310 million maintenance, $25 million environmental and $335 million investments and integration. Environmental capital expenditures for 2024–2028 are estimated at approximately $64 million, primarily for Texas coal-unit wastewater controls.
  • After quarter-end, NRG established an $875 million term loan facility, used proceeds to repurchase part of its convertible notes and planned to repay its 3.75% secured notes due 2024. Through April 2024, it repurchased $343 million principal of convertible notes for $603 million, including accrued interest. A portion of revolving commitments was extended to February 2028; Vivint’s term loan was also repriced. These transactions occurred after the balance-sheet date.
  • Key financial exposures include commodity-price volatility, collateral and margin requirements, counterparty credit risk, customer delinquencies, interest rates and market liquidity. NRG estimated that a $0.50/MMBtu decline in natural gas prices across marginable contracts could increase collateral posted by about $1.2 billion. It also disclosed $1.4 billion net counterparty exposure after collateral, excluding certain market participants and contracts.
  • Material legal matters include a $190 million jury verdict against Vivint in the CPI sales-practices case and a $45 million patent-infringement verdict in the Skybell case; NRG disputes both and is pursuing post-judgment or appellate remedies. Potential exposure from other litigation is not clearly quantified in the filing. The STP partner litigation was settled in May 2024 with no incremental impact to NRG.
  • Regulatory and environmental uncertainties include potential New York retail compliance consequences, possible retroactive ERCOT repricing related to Winter Storm Uri, and new or proposed EPA requirements for greenhouse gases, air emissions, wastewater and coal-combustion residuals. NRG expects legal challenges to several rules and says their effects remain uncertain.
  • The 2023 comparative cash-flow statement was adjusted to present certain credit-facility borrowings and repayments gross. NRG concluded the presentation error was immaterial and said it did not affect total financing cash flow.
  • Management reported effective disclosure controls and no material change in internal control over financial reporting during the quarter. S&P affirmed NRG’s BB issuer rating and changed its outlook from Stable to Positive.

Important facts for investors to verify

  • How much of the earnings improvement reflects settled operating economics versus unrealized hedge marks, and how those positions settle in later periods.
  • Whether operating cash flow remains adequate after separating collateral movements and working-capital changes from recurring cash generation.
  • Execution and cost of the planned debt reduction, the 2024 note repayment, and the convertible-note repurchases made at a premium to principal.
  • Vivint integration, subscriber and customer trends, and whether credit-loss provisions and elevated SG&A moderate.
  • Potential outcomes and financial effects of the CPI and Skybell verdicts, New York regulatory notices, ERCOT litigation and evolving environmental rules.
  • Whether the stated dividend-growth target, capital spending plan and remaining share-repurchase authorization remain consistent with debt reduction and liquidity priorities.
