Revenue mix and changes

  • Revenue growth reflected recovery from COVID-19 disruption: DTC revenue increased 38.8% to €851.4m; wholesale increased 13.7% to €437.7m.
  • Zegna segment revenue rose 22.8% to €1,035.2m; segment Adjusted EBIT was €111.0m, versus an €9.0m loss in FY2020.
  • Thom Browne revenue grew 46.9% to €264.1m; segment Adjusted EBIT increased 31.4% to €38.1m. Its share of consolidated revenue rose to about 20%.
  • By region, APAC generated €696.3m, including €588.9m from Greater China; EMEA generated €380.3m and North America €191.3m. Greater China represented approximately 46% of revenue.
  • Revenue increased in all major regions versus FY2020, but FY2020 revenue had fallen 23.2% versus FY2019 amid pandemic closures and weaker demand.

Unusual items, outlook and risks

  • The FY2021 statutory net loss included €205.1m of items management excluded from Adjusted EBIT for the Business Combination, including €115.0m for listing services, €37.9m for escrowed shares and €34.1m of transaction costs. Other adjustments included a €12.2m provision following an adverse U.S. lease judgment and severance and impairment charges. Adjusted measures are non-IFRS and should be assessed alongside reported results.
  • Management reported recovery in 2021 but gave no numerical revenue, earnings or cash-flow guidance in the supplied filing text. Its stated priorities include luxury leisurewear, the Zegna brand consolidation beginning Fall/Winter 2022, Thom Browne growth and digital/omnichannel development.
  • COVID-19 remained a material uncertainty: in 2022, certain Greater China stores were closed or saw significantly lower traffic under renewed restrictions; production delays were also reported. Russia represented 1.5% of FY2021 revenue; deliveries for Russian Fall/Winter 2022 orders were suspended following sanctions, with uncertainty around resumption and customer agreements.
  • Other disclosed risks include inflation and raw-material cost volatility, foreign-exchange and floating-rate exposure, reliance on Greater China and tourism, store lease costs, competition, and brand, supply-chain and cybersecurity risks. The Group reported a ransomware attack in August 2021 that affected most IT systems and resulted in publication of certain extracted accounting materials.
  • The company said disclosure controls were ineffective at December 31, 2021 and identified material weaknesses in financial-reporting controls, including accounting resources, risk assessment, IT controls and review procedures. Remediation was underway but not complete; no auditor attestation on internal controls was included.
  • Thom Browne faces pending adidas trademark litigation and related European Union cancellation proceedings. Zegna also disclosed the U.S. lease judgment; it intends to appeal, and the year-end provision for that claim was €28.3m. The filing describes other ordinary-course legal and tax matters.
  • The Group had €628.9m of borrowings, approximately 66% floating-rate at year-end; certain facilities have covenants, and the Group reported compliance. Contractual cash flows include substantial scheduled borrowings and lease payments. The company intended to pay regular dividends, but had paid no cash dividends on ordinary shares since the business combination; future distributions remain discretionary and subject to legal and financial constraints.

Important facts for investors to verify

  • Reconcile the €127.7m IFRS net loss to €149.1m Adjusted EBIT and €75.3m Adjusted profit; assess the size and recurrence of excluded items.
  • Review full financial statements and notes for cash-flow quality, inventory and receivables, the composition and liquidity of €334.2m in securities, debt maturities, lease obligations and covenant terms.
  • Track remediation of material weaknesses and whether subsequent filings establish effective financial-reporting controls.
  • Assess sales and store performance in Greater China, pandemic-related disruption, Russia exposure, and the effect of inflation, raw-material prices and currency movements.
  • Monitor the U.S. lease appeal, adidas litigation, warrant dilution and fair-value volatility, and any changes to the controlling shareholder’s influence or lock-up-related share supply.
