Margins and unusual items: Management attributed the gross-margin improvement to direct branded CATV sales to MSOs, some price increases, data-center product mix and Microsoft non-recurring engineering revenue. Net interest and other expense increased to $14.7 million from $7.4 million, including higher interest expense and a $7.5 million non-operating loss, primarily associated with debt extinguishment. The company recorded $8.7 million of inventory reserve expense, versus $4.9 million in 2022, and $10.6 million of direct inventory write-offs.
Liquidity, debt and financing
- At year-end, AOI reported $45.4 million in cash and cash equivalents, $9.7 million in restricted cash and $22.5 million of unused borrowing capacity. Management said existing cash, operating cash flows and available credit should cover anticipated needs for the next 12 months, while noting additional financing may be needed and may not be available on acceptable terms.
- Consolidated indebtedness was approximately $114.9 million, including $23.2 million of notes payable due within 12 months, $80.2 million principal of 2026 convertible notes and $15.5 million of bank acceptance payables. The 2026 notes bear 5.25% interest and mature December 15, 2026; reported carrying value was $76.2 million. Future interest payments on the notes were $12.6 million.
- In December 2023, AOI issued approximately $80.2 million of 2026 convertible notes and exchanged or repurchased approximately $80.2 million principal of 2024 notes for about $81.1 million cash plus 466,368 shares. The company also terminated its U.S. CIT credit facility in November.
- The ATM offering generated approximately $69.1 million net proceeds in 2023 through sales of 7.8 million shares. Shares outstanding increased to 38.1 million at year-end from 28.6 million at year-end 2022. The filing reports 38.4 million shares outstanding as of February 20, 2024.
Material changes and management outlook
- Revenue declined modestly overall as weaker CATV demand for older DOCSIS 3.1 products and lower telecom sales largely offset data-center growth. Data-center revenue became the largest business, increasing from 34.6% to 64.9% of sales.
- Management expected elevated data-center demand to continue into 2024, based on customer forecasts and order backlog. It expected 400 Gbps product sales to exceed 100 Gbps sales later in 2024, while warning of quarter-to-quarter variability during the technology transition.
- AOI planned to release DOCSIS 4.0 CATV products in 2024 and expected CATV sales to increase. These are management expectations, not formal numerical guidance.
- The proposed sale of China manufacturing facilities and related assets was terminated in September 2023. The intended purchaser filed Hong Kong arbitration seeking to challenge the termination and compel the transaction; AOI disputes the claims and seeks a break-up fee. The outcome and any loss or recovery were not estimable in the filing.
- Construction of the Ningbo factory shell was complete; approximately $27.4 million of estimated $27.5 million construction costs had been paid. AOI expected the facility interior to be completed and the factory placed in service in the second half of 2024.
Key risks and other disclosures
- Customer concentration is substantial: Microsoft represented 46.6% of 2023 revenue, ATX 15.6% and Digicomm 11.3%; the top ten customers together represented 92.7%. Most sales are through short-term purchase orders that customers may reschedule or cancel.
- AOI has a history of annual losses and accumulated deficit of $265.1 million. It depends on continued access to capital, successful product launches and customer qualification, manufacturing yields and capacity utilization.
- Manufacturing and supply risks include reliance on limited suppliers, high fixed costs, inventory obsolescence and concentration of proprietary laser-chip production in Sugar Land, Texas. China and Taiwan operations also expose the company to trade restrictions, tariffs, foreign-exchange movements and geopolitical disruption.
- The company reported a $78.1 million valuation allowance against deferred tax assets. Use of tax attributes may be limited, including by ownership-change rules.
- Grant Thornton issued an unqualified opinion on the financial statements and reported effective internal control over financial reporting as of December 31, 2023.
