Cash flow, balance sheet, and liquidity

  • Operating cash flow: $0.7 million provided in the first nine months, versus $2.5 million used in the comparable 2013 period. Net income was partly offset by a $15.0 million inventory increase.
  • Investing cash flow: $29.1 million used, including $24.8 million for property, plant, and equipment and $3.2 million for intangible assets. Cash capital spending substantially exceeded operating cash generation.
  • Financing and cash: Financing provided $43.2 million, including $45.6 million net proceeds from the March 2014 follow-on offering. Cash and cash equivalents ended at $37.0 million, up from $22.0 million at year-end. Cash, restricted cash, and short-term investments totaled $45.8 million.

  • Subsequent event: On October 3, 2014, AOI repaid $14.0 million of its U.S. line-of-credit borrowings.

Management stated existing cash and operating cash flows were expected to cover anticipated needs for the next 12 to 24 months. No quantified revenue or earnings guidance is provided in the filing.

Material changes, commentary, and risks

  • Growth was driven primarily by data center demand for 10G and 40G transceivers, with FTTH growth supported by WDM-PON products. CATV revenue remained weaker, attributed to market weakness and customer order delays related to industry mergers.
  • Property, plant, and equipment increased to $51.3 million from $31.1 million at year-end; inventory rose to $33.1 million from $19.6 million. The company recorded $1.1 million of inventory valuation expense for the first nine months.
  • General and administrative expense included higher share-based compensation and public-company costs, as well as non-recurring Taiwan plant relocation and CFO separation costs. Foreign-exchange movements also contributed to Q3 other expense.
  • Principal risks include extreme customer concentration and reliance on purchase orders rather than long-term contracts; demand cyclicality and uncertain adoption of newer products; manufacturing and capacity constraints; inventory obsolescence; competition; supplier dependence; and foreign-exchange, China/Taiwan, and geopolitical exposure. AOI also noted that its proprietary laser-chip process is concentrated at its Sugar Land facility.
  • AOI reported no material pending legal proceedings and stated disclosure controls were effective as of September 30, 2014. It was an emerging growth company and relied on related reporting exemptions.

Important facts for investors to verify

  • Whether the exceptionally high data center customer and top-ten customer concentration persists, and how customer ordering patterns develop.
  • Whether data center growth and FTTH product adoption can offset continued weakness or cyclicality in CATV.
  • Inventory growth, inventory reserves, and the cash required to support production and expansion.
  • Liquidity and debt after the October 3 repayment, including remaining facility availability and covenant requirements.
  • Progress and returns from substantial capital investment and R&D, including qualification and volume sales of new products.
