Revenue rose 38.4%, driven mainly by higher Purion system sales. Net income increased 193.4%. Overall gross margin remained above 40% for a third consecutive year, but declined from 42.1%; product margin fell to 43.9% from 45.0%, primarily due to a lower mix of higher-margin parts and upgrades. Services margin improved to 4.3% from 1.6%.

At year-end, cash and cash equivalents were $203.5 million, working capital was $386.4 million, and the company reported no bank borrowings. It had a $40 million secured revolving credit facility, with no borrowings; a $5.9 million letter of credit reduced available capacity. The separate headquarters sale-leaseback finance obligation was $48.1 million. Capital expenditures were $7.4 million; management projected approximately $7.0 million for 2021.

Material changes and operating context

  • Systems backlog, including deferred systems revenue, was $116.2 million at year-end versus $99.3 million a year earlier. Q4 bookings were $131.5 million versus $77.2 million in Q4 2019. Backlog orders may be cancelled or rescheduled and are not a reliable indicator of future sales.
  • Research and development expense increased 14.7% to $61.8 million. Total operating expenses rose 17.2% to $140.5 million, but declined as a share of revenue to 29.6% from 35.0%.
  • International revenue was 89.3% of total revenue; Asia accounted for 90.4% of system revenue. Samsung Electronics and Semiconductor Manufacturing International Corporation each represented at least 10% of FY2020 revenue; the filing identifies two customers at 17.9% and 16.4% of revenue.
  • Cash increased from $139.9 million at year-end 2019. Operating cash flow improved substantially; inventory increased to $161.1 million from $140.4 million.

Outlook, commentary, and risks

Management described 2020 as an exceptional year, citing broad electronics-market strength and Purion growth despite pandemic and geopolitical logistics challenges. Its stated strategic targets were to achieve a $550 million revenue run rate in 2021, a $550 million revenue model in 2022, and a $650 million model by 2024. These are management targets, not guaranteed results. Priorities include expanding Purion sales, pursuing mature-process, memory, logic and foundry opportunities, growing aftermarket revenue, improving margins, and preparing for a post-COVID environment.

  • Export controls and China: A major Chinese customer was placed on the U.S. Commerce Department Entity List. Required licenses were delaying shipments and could prompt supplier changes.
  • Concentration and cyclicality: The top ten customers contributed 74.0% of revenue. Semiconductor equipment spending is cyclical, and large customer orders, shipment timing, acceptance, and cancellations can cause significant results fluctuations.
  • Supply chain and pandemic exposure: Dependence on a limited set of suppliers, international sourcing, travel restrictions, and COVID-related disruption could delay deliveries or increase costs.
  • Other risks: Competitive pressure, product development and acceptance, aftermarket demand, cybersecurity, foreign exchange, and reliance on one primary manufacturing facility. Management reported no litigation believed likely to materially harm operations and no material pending environmental matter.
  • Tax and other unusual items: The 2020 effective tax rate was 10.6%, versus 18.6%, helped by a previously unrecognized tax benefit of approximately $4.1 million. The company maintained a $9.1 million valuation allowance against certain U.S. tax attributes.
  • Capital returns: The prior repurchase program was suspended in Q1 2020 amid pandemic uncertainty; FY2020 repurchases were $7.5 million. In January 2021, the board authorized a new one-year program of up to $100 million, with no obligation to repurchase shares.

Investor facts to verify

  • Whether revenue and margin targets are being met, and how much growth depends on new systems versus aftermarket sales.
  • Whether the export-license delays for the listed Chinese customer are resolved and what effect they have on shipments, customer retention, and bookings.
  • Customer concentration, especially the two largest customers and their share of receivables as well as revenue.
  • Inventory growth and the assumptions behind excess-inventory reserves; inventory estimation was a critical audit matter.
  • Cash conversion, working-capital needs, and remaining availability under the secured revolver after letters of credit.
  • The realization of deferred tax assets and carryforwards, and the effect of the discrete tax benefit on future effective tax rates.
  • Whether the new share-repurchase authorization is used, and its effect on cash available for investment and liquidity.
