Operating cash flowNot separately statedNot separately stated$(12.6)$(8.1)
  • Q2 product revenue fell to $51.5 million from $84.3 million; service revenue was $7.6 million versus $9.0 million. Six-month product and service revenue were $99.0 million and $15.1 million, respectively.
  • Gross margin improved year over year, primarily from a more favorable mix of higher-margin parts and upgrades; lower system sales volumes partly offset the benefit. Q2 service gross margin declined to 25.1% from 29.9%.
  • Operating expenses were $23.4 million in Q2, down from $27.9 million, but exceeded gross profit. First-half operating expenses included $3.0 million of restructuring charges.

Balance sheet and liquidity

  • At June 30, 2012, cash and cash equivalents were $33.8 million, down from $46.9 million at December 31, 2011. Total current assets were $205.6 million and current liabilities were $40.8 million.
  • Total liabilities were $47.4 million; the filing reports no borrowings under the revolving credit facility during the quarter or first half. Available borrowing capacity was $25.2 million under the $30 million facility, and Axcelis reported compliance with all covenants.
  • First-half investing cash use was $0.4 million and financing cash provided was $1.0 million. Inventory increased to $126.6 million from $120.0 million at year-end.
  • Management stated existing cash was expected to meet anticipated short- and long-term requirements, while noting liquidity depends on product demand, operating adjustments, credit availability, and semiconductor industry conditions.

Changes, outlook, and risks

  • Management attributed lower revenue to weak semiconductor-market conditions and reduced customer capital spending. System sales were $26.2 million in Q2 versus $53.7 million a year earlier. Aftermarket revenue also declined, mainly due to reduced parts and upgrade demand associated with lower customer tool utilization.
  • Management expected similar industry conditions for the remainder of 2012 and emphasized that the cyclical industry, largely fixed operating-cost base, and customer spending levels can cause significant fluctuations in results and cash flow.
  • A first-quarter workforce reduction generated $3.0 million of restructuring charges; $0.6 million remained payable at June 30. A separate third-quarter headcount reduction was expected to produce annual savings of $4–$8 million, with approximately $0.5 million of related costs anticipated in Q3 and Q4.
  • Customer concentration was significant: three customers represented approximately 49% of Q2 revenue; two customers represented 29.4% and 13.4% of accounts receivable at quarter-end. Foreign-exchange movements affected other income and expense.
  • The company reported no litigation believed likely to have a material adverse effect, no material changes to previously disclosed risk factors or market-risk information, and effective disclosure controls.

Important facts for investors to verify

  • Whether semiconductor-equipment demand and system sales recover or remain weak, and the resulting effect on revenue, margins, and operating cash use.
  • Cash burn, inventory levels, and ability to maintain credit-facility covenant compliance; reported borrowing availability was $25.2 million.
  • Delivery and realization of the stated $4–$8 million annual savings, and actual restructuring costs.
  • Customer concentration and the effect of customer utilization, deferred revenue, and foreign-exchange movements on results.
